History

In 1973, American Television and Communications was purchased by Time Inc. during the building stages of Warner Communication’s Warner Cable. After the two companies joined forces with a landmark merger in 1989, it only took 3 years for the new company, Time Warner Inc., to conjoin its two television subsidiaries and form Time Warner Cable. In 1996, TWC took its first steps into the world of internet with the first cable-delivered high speed internet service, Roadrunner. Soon after, TWC introduced digital cable, VOD, and a digital phone service that formed one of the first “triple play” services. In 2007, TWC became a publicly traded company, and broke off from Time Warner Inc. in 2009 to become an independent company. While serving as one of the top providers in the industry, TWC continued to grow in size with acquisitions of Adelphia, NewWave Communications/Navi Site, Insight Communications, and DukeNet Communications.  After industry legend Glenn Britt stepped down in 2013, Robert D. Marcus was elected the new chairman and CEO of TWC. (3)

Financials

Time Warner Cable became a publicly traded company in 2007. Here are their revenues in thousands for the past three years (5):

  • 2012: $21,386,000
  • 2013: $22,120,000
  • 2014: $22,812,000

In 2013, Time Warner Cable had a decent year by generating a 3% increase in total revenue. This past year they did equally well by bumping up the total revenue by another 3%. TWC’s stock price has been doing well in 2015 so far increasing .07% from 144.28 per share on 1/12/15 to the current price of 158.20 per share on 4/16/15. The company is currently valued by Yahoo Finance at 68.2 billion dollars. (6)

Acquisitions:

  • Adelphia (2006)TWC completed a joint purchase with Comcast for all of Adelphia’s assets, systems, and employees. The acquisition cost the two companies $12.5 billion in cash, and 16% of Time Warner Cable’s common equity. (7)
  • NewWave Communications (2011): Time Warner Cable acquired this midwestern small time cable provider and 80,000 of its subscribers for $260 million dollars in cash. (8)
  • Insight Communications (2011): This medium sized cable provider was also acquired in 2011 to further broaden Time Warner Cable’s presence in the Midwest. A price tag of $3 billion in cash was agreed upon with Carlyle Group in exchange for assets and 750,000 customers in Illinois, Indiana, Kentucky and Ohio. (9)
  • DukeNet Communications (2014): After many negotiations throughout 2013, Time Warner Cable completed the acquisition of DukeNet Communications for $600 million dollars from Duke Energy Corporation and investment funds managed by Alinda Capital Partners. This southeastern regional fiber optic network added an estimated 8,700 miles to TWC’s network. (10)

Time Warner Cable Media

Time Warner Cable Media (TWCM) is the advertising division of Time Warner Cable. They offer geographical marketing solutions and advertising networks for businesses of all sizes. This arm of TWC is fairly lucrative, generating $1.18 billion in revenue in 2013. (4) Due to Time Warner’s Cable’s reach in television, TWCM has advertising networks on virtually every channel offered on Time Warner Cable in 14 different states, including Texas, California, and New York. This arm of Time Warner Cable is expected to be expanded after the Comcast Merger.(11)

Comcast Merger

In February of 2014, Comcast and Time Warner Cable announced a full merger of the two companies worth $45.2 billion. With Comcast leading the CATV and Broadband industry in marketshare and Time Warner standing in second, the merger would make the two own over 30% of the market share in both Pay TV and Broadband.(12)

This has raised the alarm for many competitors, customers, and politicians across the nation. The LA Times reported a story on a handful of consumers, advocacy groups and content creators protesting in downtown Los Angeles. Opponents of the merger argue that Comcast and TWC would have a monopoly over the Broadband and Cable industries and have the power to drive up prices in markets such as California where they would have a service footprint over 80% of the state. (13) Other major media companies like Netflix, Discovery Communications Inc., and Glenn Beck’s The Blaze have publicly opposed the merger due to fear that Comcast is growing to large. With it’s purchase of FreeWheel Media in April of 2014, many of these companies want a piece of their growing advanced advertising technology. Comcast has even gone as far as accusing companies in court such as Netflix of extorting their support in exchange for rights to yet-to-be launched TV networks, pay higher carriage fees for channels, allow interconnection of web traffic without charge, and to share access to advanced advertising technology.(14)

The merger was expected to be finalized in late 2014, but Time Warner Cable and Comcast continue to sort our legal issues with the FCC.

Company News

In the midst of the merger, Time Warner Cable still stays competitive in the market. Recently, TWC announced that it would be raising internet speeds free of charge starting in Charlotte, NC. This is a response to the continuous growth of Google Fiber, Google’s new high-speed fiber internet service. With the money and power of Google, Time Warner Cable will be forced to lower prices and improve quality in order to stay competitive. (15)

Time Warner Cable also just announced the launch of it’s new Enhanced DVR system. This features the ability to record 6 shows simultaneously, and store 6x the amount of content. The new and improved storage of the Enhanced DVR has TWC customers very excited as it is a sizable improvement from the two-show at a time limit that is currently implemented on TWC DVR systems. The new product is low cost, only an additional $3 for single DVR customers, 7$ extra month for whole-house customers, and $10 a month for consumers who don’t have the DVR system. In addition, TWC now offers DVR control from a smart phone app for all DVR users. (16)

Scripps Networks Interactive started in 1875 when E.W. Scripps founded The Penny Press and soon became one of the most successful newspaper publishing companies. The E.W. Scripps Company later evolved, acquiring local television stations. It was not until the company bought HGTV and the Food Network that it became Scripps Networks Interactive, the leading developer in lifestyle media. [1]

Today, Scripps Networks Interactive develops lifestyle media across the platforms of cable television, digital, mobile, and publishing. Home of HGTV, Food Network, The Cooking Channel, Travel Channel, DIY Network, and Great American Country, SNI reaches viewers all over the world with the goal of changing and improving everyday lifestyles.

SNI’s 2014 Upfront event in NYC revealed 35 new primetime and daytime series for the fall seasons of Food Network and Cooking Channel [3]. Among the new shows were Food Network’s Bobby Flay Fit, The Big Tip, and Chopped Teens Tournament and Cooking Channel’s Proper Pub Food and Compete to Eat. The channels are showing trends of gravitating toward competition and travel shows that take the audience out of the traditional home/kitchen. DIY Network and HGTV also premiered many new series and specials this fall. Among the lineup for DIY were The William Shatner Project, documenting renovations to the famous Star Trek actor’s house, The Property Brothers at Home, and Amish RENOgades, featuring Amish craftsmen as they travel outside of their community and learn to navigate the modern world and work on home improvement projects.
HGTV series this fall included Lakefront Bargain Hunt, A Hero’s welcome, White House Christmas, and Half-Price Paradise.  [4]

In September 2014, Dish Network obtained the rights to deliver live and on-demand content from all six of SNI’s cable networks on their over-the-top internet service, “Dish Anywhere”. The pact allows dish subs to access authenticated Scripps Networks programming over any Internet connection, on devices including connected TVs, PCs, smartphones, tablets and video game consoles.[5] At the 2014 Bank of America Merrill Lynch Media, Communications and Entertainment Conference in September, President Burton Jablin and Chief Financial and Administrative Officer Joseph NeCastro stressed the OTT deal as a way to increase distribution for their up-and-coming networks, Cooking Channel and DIY Network, while giving their live viewers (which make up about 90% of total viewership) more opportunities to view their high-quality content, and appealing to a wider audience of millennials and cord-nevers. [6]

Also in September, Scripps announced the expansion of HGTV into Singapore. The global expansion of SNI’s content signifies the universality of the network’s themes. The expansion to Singapore will include localized original short-form content exclusively for the launch of HGTV in Asia based on the popular series Extreme Homes. Jim Samples, president of Scripps Networks International, commented, “The launch of HGTV across Asia-Pacific signifies the first time HGTV has launched as a premiere 24/7 channel destination focused on home and lifestyle programming outside North America, including the Caribbean. This is a testament to how successful Scripps Networks’ high quality lifestyle content has performed around the world, and we see great potential for this channel offering to drive value for audiences, affiliate and advertising partners alike.” [7]

Publishing/ Digital

At its first ever Newfront presentation in April 2014, Scripps showcased an array of web series produced for its lifestyle video platform ulive, as well as websites for SNI television channels like HGTV, DIY Network, Food Network, Cooking Channel, and Travel Channel. Many web series are designed as companions of SNI’s cable series. For example, “Star Salvation” runs on FoodNetwork.com parallel to season 10 of the TV series Food Network Star, giving eliminated finalists the opportunity to get back on the TV show. SNI’s strong focus on online content, as well as its presence at the 2014 Newfront presentations, signifies the company’s strong adaptability in today’s digital age. [8]

On Nov 17, 2014, SNI announced a cross-platform content partnership with Hearst Magazines to support the launch of the Citi Double Cash Card. Food Network and HGTV released seasonal holiday content in late November that connect across the holiday issues of Food Network Magazine, HGTV Magazine, food network.com, and HGTV.com. These holiday-inspired recipes, entertaining ideas, and DIY (do-it-yourself) projects were made to show consumers the two ways to earn cash back with the Citi Double Cash Card. [9]

Financials

SNI’s 2014 Upfront concluded selling just under 50% of inventory, hitting $1 billion in sales. There have been recent shifts toward scatter advertising. Scripps networks are very attractive to advertisers, as they have non-violent, popular, family-friendly content targeted to an upscale audience. There is also a higher demand for convergent buys, in which SNI packages TV ad space with corresponding digital content to appeal to a wider and more diverse audience. [6]

In October 2014, Scripps began offering its employees voluntary buyouts as a way to cut costs. “Each department will address its specific budget targets as they see fit. However, it is likely that this effort to bring costs in line with revenue will include the elimination of activities, projects and positions. We plan to announce any project and/or job eliminations resulting from this budget process by the end of the year,” said CEO Kenneth Lowe [10].

In better news, Scripps Network Interactive’s new cable and digital programming received very positive feedback from advertisers. The 2014 third-quarter earnings results shows that sales increased 4.5% to reach $644 million. “These solid third-quarter operating results demonstrate our unique competitive advantage, and our ability to create long-term value for shareholders in a changing marketplace,” Kenneth Lowe said in a press release accompanying the results [11]. TV station revenue has grown 22% since the third quarter of 2013, up $21.8 million for a total of $121 million. The company as a whole reported consolidated revenue of $208 million, an increase of 9.5%, or $18.1 million, from the year-earlier quarter. [12]

Looking forward, SNI has a promising financial future from ad revenues from both cable and digital. Bucking the trend of television in general, Food Network has lowered its median age in the last two years, due to much stronger growth in the 18-49 demo. At the Bank of America Merrill Lynch Conference, Burton Jablin and Joseph NeCastro outlined SNI’s plan of increasing viewership by expanding the Travel Channel, expanding their international brand, keeping Food Network and HGTV a healthy priority, and increasing distribution for Cooking Channel and DIY Network. [6]

History of Time Warner

Time Warner Inc., is a mega media conglomerate that dominates both the film and television entertainment sectors. During the late 1980’s, there was a period of buyout in which Time Inc. was looking to merge with another company rather than be assumed fully by some unfamiliar corporation. Warner Communications’ seemed to be perfect match and they partnered in 1990, and thus Time Warner, Inc. was born [2].

Operating Divisions

Time Warner’s Operating Divisions include: Home Box Office (or more commonly referred to as HBO), Turner Broadcasting System, Inc., and Warner Bros. Entertainment [3].

HBO

hbo
HBO Logo [4]
HBO-Max-blog-3

HBO and its sister-network Cinemax [6]

HBO is a leading subscription-based television service offering two television networks, HBO and Cinemax. In 2013, HBO maintained its #1 spot on the domestic front as the highest-rated premium tv service, in both primetime and total day. As a global force, both HBO and Cinemax are accessible in over 60 countries, and HBO’s original programming is licensed to TV networks in over 150 [5].

Known for pushing the envelope with edgy and compelling dramas, HBO has a reputation for racking up awards every year and this year was no exception. Starting off 2014, HBO received 19 Primetime Emmy Awards, with True Detective leading the pack, coming in at five awards. After becoming an overnight success, the second season was ordered and in recent news, the cast for Season 2 has officially signed on. The cast will be comprised of: Colin Farrell, Vince Vaughn, Rachel McAdams, Taylor Kitsch and Kelly Reilly [7].

Boardwalk Empire Final Season Poster [9]

Among other hit shows, HBO concluded the fifth and final season of Boardwalk Empire in October. While the finale rolled in at 2.3 million viewers and was up 7% from last year’s, it was still down from this year’s premiere. Also, it is important to note that the finale was aired multiple times, and these numbers are not calculated from just the regular timeslot, but take into account viewers tuning in at any of the various times [8].

The Newsroom Final Season Poster [11]

Also on the topic of series finales is Aaron Sorkin’s The Newsroom, which premiered on November 9th for its third and final season [10]. From the beginning, critics argued that the show seemed to fall short of what is expected from Sorkin. When the show wasn’t immediately picked up for a third season in traditional HBO fashion, it seemed the ratings began to reflect those critiques.

This season the ratings continue to dive, dropping almost 45% in its premiere in comparison to last season’s. To add insult to injury, the formerly summer based show decided instead on a fall launch, forcing it to go up against AMC’s fan-favorite and rating-generator, The Walking Dead [12].

As for the remainder of the fall slate, The Comeback has hardly made any sort of comeback, drawing less than half a million viewers. The lack of viewership seems to be attributed to the fact that it is returning after a 10-year hiatus [13]. Also, the return of Getting On in its second season has definitely drawn praise from viewers and critics, but the numbers just still aren’t there [14].

Looking forward, HBO has confirmed a January 11th, 2015 back-to-back half-hour lineup. The reigning half-hours return with Girls and Looking, followed by a new series called Togetherness [15]. From brothers Jay and Mark Duplass, comes a dramedy about two couples living together in Los Angeles, trying to mend their respective relationships, while attempting to follow their own individual dreams [16].

On the business end of things, the company recently announced that they will offer a stand-alone HBO streaming service as of 2015 [18]. This news shocked devout HBO subscribers and media professionals alike, due heavily in part to the fact that there has been a great deal of discussion surrounding whether or not HBO would ever form a stand-alone streaming service housing all of their original programming, without requiring a television subscription. However, HBO’s long-standing answer has always been a firm “no”.

Richard Plepler at the Time Warner Inc. Investor Meeting [19]

Nonetheless, the over-the-top, stand-alone service will become reality next year. At a Time Warner, Inc. investor meeting, Richard Plepler, CEO of HBO, explained the reasoning behind the move, saying that this “…is a large and growing opportunity that should no longer be left untapped. It is time to remove all barriers to those who want HBO” [20].

Kevin Reilly, the new face of TNT and TBS [26]

In October, Kevin Reilly was appointed president of TNT and TBS as well as chief creative officer of Turner Entertainment in October. He arrives during a period of upheaval that is “Turner 2020”. The explanation of this re-brand is that Turner is trying to be more cost efficient, yet expand in the programming department [23]. More importantly, this attempt to revamp came only after 21st Century Fox tried to acquire Time Warner [24].

Under Turner 2020, TNT has already cancelled three shows (Dallas, Franklin & Bash, and Perception) [25]. Although all three have consistently dropped in viewership, more so they don’t align with the move toward edgier entertainment [27].

Other sectors of the overhaul include Boomerang, the popular Cartoon Network derivative, that brings classic cartoons to today’s kids. However, the network will be re-introduced globally to include both the vintage shows parents remember, and new contemporary ones [28].

Joint NBA TNT Logo [29]

Turner also reached a deal with the NBA that added 12 live regular season games per year to air on TNT. Although Turner and the NBA have a history together, this partnership would make TNT home to opening night and more NBA Playoff games than any other network. This includes sought after Thursday night doubleheaders, All-Star Weekend events, and one of the Conference finals [30]. Most substantially, Turner Sports’ TV Everywhere rights will apply to all NBA Content, giving them the power to distribute content across various digital platforms [31].

In other sports news, TBS averaged 4.3 million total viewers in the MLB Postseason, making it the most-viewed postseason telecast since 2010 [32].

turner-dish-channels-lost

Turner channels that Dish customers lost [34]

However, the most significant of Turner’s updates was the Dish – Turner dispute. On October 21st, 2014 Dish subscribers had channels blackout which was the result of the two companies distribution agreement expiring before they arrived at an updated agreement [33]. The carriage dispute ragged on for two weeks, neither company admitting fault other than that of the other. Dish Chairman Charlie Ergen implied that Dish was ready to drop the channels permanently, when he stated:

“We would save a big, big, big check from a cash flow perspective…it’s hard to pay a double-digit price increase for something that people are watching half as much as they used to watch. It’s Turner’s job to make their product better. Not ours” [35].

Needless to say, the channels were reinstated in November after the two decided on a contract extension pending a longer-term agreement [36].

About—

AMC Networks is an American entertainment company which owns and operates AMC, BBC America, IFC, Sundance TV, WE, IFC Films, and AMC Networks International. Initially, AMC was known as Rainbow Media Holdings and until 2011, was a subsidiary of Cablevision Systems. In 2011, Cablevision made Rainbow Media Holdings a publicly traded company and changed its name to AMC Networks [iii].

AMC has recently gained momentum through television shows like The Walking Dead, Mad Men, and Breaking Bad, on its cable channel, AMC [iv]. IFC Films and its affiliate channel, IFC, are responsible for indie films like Boyhood [v] and quirky television comedies like Portlandia [vi]. Recently, the company acquired a 49.9% stake in BBC through a joint venture that cost $200 million [vii].

Financials—

AMC Networks just reported its third quarter earnings. Net revenues increased a whopping 31.4% to $520 million [ix]. International revenue reached $122.7 million, up 765% from last year. This could be attributed to acquisitions of both BBC and Chellomedia, a deal AMC made in February which gave them a stack of networks in Europe, Latin America, the Middle East, and Asia [x]. The company also reported earnings of $53.2 million, or 74 cents a share. Analysts estimated that AMC Networks would come in at 73 cents a share and thus, they surpassed projections [xi].

According to the third quarter report, AMC Networks is currently working with a $110 million operating income [xii].

When the market closed on December 1, 2014, AMCX was down 1.34% at $63.99 per share. The company hit a low-point in mid-October at $52.75 per share and was at its highest in March at $77.40 per share. Looking at the past 3 years (when AMCX became a publicly traded company), we see exponential growth overall.

What’s Happening Now?—

Sarah Barnett Named President and General Manager, BBC America

AMC Networks announced last week (November 21, 2014) that current SundanceTV chief, Sarah Barnett, would be moving up to President and General Manager of BBC America [xiii]. Barnett began her career at BBC in production before she spent a decade at SundanceTV. She will start her new position in January, surveying over both SundanceTV and BBC America until AMC taps someone else to oversee SundanceTV. The current General Manager at BBC, Perry Simon, who was on the team behind Orphan Black, is moving to production with BBC Worldwide North America [xv].

Barnett certainly has the chops for an upgrade in position. Under her reign, she established Sundance as an original programming network with shows like Rectify, Top of the Lakeand The Honourable Woman [xvi] With this new position she will continue to report to Ed Carroll, Chief Operating Officer of AMC Networks.

AMC Announces Two-Night Premiere for Spin-Off Series “Better Call Saul”

AMC’s next new drama series, Better Call Saul, will debut on Sunday, February 8 with its second episode debuting the next night, Monday, February 9 [xvii]. The series follows Breaking Bad character Saul Goodman, prior to him becoming Walter White’s lawyer lawyer.

video courtesy of AMC Networks on Youtube [xviii]

The back-to-back premiere is “AMC’s first ever two-night series premiere event” according to Charlie Collier [xix]. Season one is slated for 10 episodes and Talking Dead will air before it, a solid segue for high-ratings for both shows. Breaking Bad creator Vince Gilligan co-created the spin-off with writer-director Peter Gould [xx].

AMC Networks and BBC Worldwide Enter Partnership

In October, AMC Networks bought a 49.9% stake in the BBC America cable channel. They paid $200 million to BBC Worldwide and the marriage between the two companies leaves BBC with a 50.1% stake in BBC America [xxi]. BBC America is available in almost 80 million homes domestically and was the most critically acclaimed channel on ad-supported television in 2013 [xxii].

BBC America will be managed as a standalone channel within AMC, much like how AMC, WE tv, and SundanceTV are operated. Even though BBC still has a grander stake in its American counterpart, AMC Networks will maintain operational control over the company, as well as affiliate and advertising sales [xxiii].

This agreement occurred almost exactly on the one-year anniversary of AMC’s $1 billion acquisition of Liberty Global’s international network, Chellomedia. That acquisition led to AMC Networks International which is available in 140 countries [xxiv].

AMC Networks/IFC Films Acquires Rights to “October Gale”

IFC Films bought the American rights to writer-director Ruba Nadda‘s thriller, October Gale, which premiered at the Toronto Film Festival. IFC Films also released another film by Nadda, Cairo Time. The film stars Patricia Clarkson, Tim Roth, and Scott Speedman. Clarkson plays a doctor who takes in a skeptical man when he floats ashore at her secluded cabin with a gunshot wound [xxv]. Myriad Pictures is handling worldwide sales.

Fred Armisen and Carrie Brownstein Return to Portlandia

Portlandia will return to IFC for its ten-episode fifth season in January. This season will showcase a laundry list of cameos including Vanessa Bayer, Steve Buscemi, Peter Giles, Justin Long, Shepard Fairey, Jane Lynch, and Olivia Wilde, amongst others [xxvi].

video courtesy of IFC Youtube

Viewers will be able to recap previous seasons on New Year’s Day when IFC will air a marathon but seasons 1 through 4 are also available on Netflix and iTunes [xxvii].

IFC Orders New Comedy Series: “Gigi’s Bucket List”

IFC has ordered a series starring David Krumholtz as “Gigi,” a 72-year-old Jewish grandmother from Boca Raton, Florida. Krumholtz is also an executive producer along with Grandma’s House Entertainment.

It will shoot this year and is slated to air in 2015. Gigi indulges herself after she discovers that she has access to her dead husband’s bank account [xxviii]. This series fits in with IFC’s quirky personality and will air in 73 million U.S. homes [xix].

David Dobkin to Direct “Badlands” for AMC

In July, AMC ordered Badlands, a martial arts drama that is loosely based on the Chinese Journey to the West. It is the third AMC series that was picked up straight to series at the network [xxxi].

However, it was announced on November 24, 2014 that director David Dobkin has signed onto the project as series director and executive producer. Dobkin has worked on Wedding Crashers and Shanghai Knights previously. AMC bought six, one-hour, episodes with an expected premiere either in late 2015 or early 2016 [xxxii].

Financials

CVC Stock 2014

A detailed map of Cablevision’s stock pricing in 2014. / Source – Yahoo! Finance

2014 has seen Cablevision’s stock (CVC) prices gradually increase throughout the year. Starting the year at $17.22/share, CVC stock stands at $20.32/share as of November 29th. February 3rd saw the year’s low of $15.85. Prices peaked in late July, mid-September, and late November. [4]

The following financial information is from Cablevision’s Third Quarter 2014 Results.

  • Net revenue increased 3.7% to $1.62 billion.
  • Cable advertising revenue grew 6.8%
  • Average Monthly Cable Revenue per Customer increased 5.7% to $154.50/customer/month. [5]

These figures represent a continued loss of subscribers for Cablevision across the board. Between satellite TV providers, rival phone companies, and the public’s shift to watching TV online, Cablevision’s audience is becoming fragmented. The company chose to increase its subscription rates in response to decreasing numbers, which is represented by the net revenue and AMCR/C increases. [6]

Recent News

The latter half of 2014 has been a busy one, with notable hirings, financial news, legal troubles, and more.

August 4th

August 4th saw Cablevision’s announcement that it has hired David Dibble as Chief Technology Officer, a newly-created role. Dibble is formerly of Yahoo!, and his hiring is part of Cablevision’s efforts to “become the premier connectivity provider in the market, delivering a peerless customer experience”. [7]

November 7th

A New York Times article revealed a major legal proceeding against Cablevision. The National Labor Relations Board has charged Cablevision CEO James Dolan with “illegally threatening to deny company technicians in Brooklyn a pay increase unless they voted to quit their union”. The NLRB also charged Cablevision itself with “illegally [undermining] the union’s representation of those workers by sponsoring a nonbinding poll to determine whether they wanted to leave their union”, while some workers reported they were being ‘spied on’ during the vote. Federal law states that such a vote can only be conducted by the labor board, not the company. CEO Dolan fired back, calling the NLRB “a tool of Big Labor” and questioning the validity of its findings. The case is ongoing, and Cablevision has stated it will appeal to federal courts, if necessary. [8]

November 11th

Cablevision teamed up with Time Warner Cable to release the first ever “New York Television Audience Insights Report”. The report sampled the 3.5 million subcribers of Cablevision and TWC in the New York area, which is half of the TV homes in the region. Its aim was to help advertising and marketing departments and companies get better value out of their advertising purchases. Some key findings include –

  • 74% of all TV programming watched was outside of traditional TV ‘prime time’ (8-11PM).
  • On average, a subscriber will only watch 25 channels in a month.
  • a whopping 90% of all viewing comes from a mere 100 channels. [9]

These new insights will help create better statistics for TV viewership and aid advertisers in spending money more efficiently.

November 18th

New York City Mayor Bill de Blasio announced that the city is planning an extensive new WiFi network across the five boroughs. The project, dubbed LinkNYC, would provide not only free WiFi, but also no-cost domestic calling and video chat. The 10,000 hotspot system would replace the city’s decaying network of archaic payphones and operate completely with money generated through advertising. Projected to cost around $200 million, LinkNYC would bring in over $500 million over the next twelve years, according to city officials.

This announcement led some to think Cablevision’s Optimum WiFi network would be threatened by this new, massive competition. Cablevision officials have not only dismissed these musings, but have actively worked with New York City on a number of initiatives, possibly including LinkNYC itself. [10]

November 22nd

The Lewisboro Ledger revealed that Cablevision has a new deal with the town of Lewisboro (Westchester County). The deal, which primarily concerns franchising fees, has a number of key improvements –

  • Over $270,000 in new franchising fees are expected in 2015.
  • Free cable would be provided to 16 municipal and school buildings, including the public library.
  • New offers would include a senior discount for those aged sixty-five and older.
  • Town Board meetings would become available for live-streaming.
  • The town’s parks and baseball fields will become WiFi-equipped. [11]

November 25th

Kids video-on-demand network Kabillion announced a carriage deal with Cablevision. Kabillion, which is the only independently-owned VOD network ranked in the Top 10 Kids Free On Demand list, will now reach over 50 million homes nationwide. The deal is beneficiary to Cablevision too, as Kabillion reports views exceeding 65 million in 2014. [12]

Time Warner Cable

History

Time Warner Cable, Inc. was founded in 1990 when Time, Inc. merged with Warner Communications. Being the second largest cable provider in the United States, the company owns and manages cable systems in over 29 states as of date. Time Warner Cable offers a vast array of customer-friendly family oriented home entertainment, including high speed Internet, digital cable, on-demand video, and phone services. [1]

 Key Executives

Being a massive corporation, Time Warner Cable has a staff of over 10,000 employees. In 2013, Glenn Britt, who had been with the company for twelve years, announced his plans to retire and was thereby replaced as chairman and CEO by the Chief Operating Officer, Robert D. Marcus for the year 2014. [2]

Marcus started working at Time Warner Cable in 2005 as the Senior Executive Vice President and gradually moved up the ladder by moving the company forward through its consumer centric focus. He carefully coordinated TWC’s move from a private company to a publicly traded one, and played a huge part in getting the company to where it is today.

The current Chief Operating Officer is Dinesh C. Jain, who has been with the company since 2003. He held the position of Chief Financial Officer, where he closely monitored operations, and orchestrated product development, and content acquisition functions. As current COO, he holds the responsibility of overseeing the company’s sales, marketing, strategy and development marketing. [3]

Financials

Ever since the company went public in February 2007, it has delivered good results while making the investments needed for longer-term success in a competitive market. Currently, the largest segment is Cable TV which makes about 44.7% of the TWC business. Their second largest segment is Broadband Internet which constitutes of 33.8% of their stock price estimate. Though digital phone services, advertising and franchising also constitute as important segments of the company, the company generates majority of its revenue through subscription fees and pay-per-view programming. In the year of 2013 alone, Time Warner Cable Inc. generated over $22 billion in revenue, with a remarkably high market share. Their cash flow became drastically stronger, and the shares that they repurchased totaled approximately $2.7 billion. After their acquisition of Communications for $3 billion, they grew up in many key financial and operational metrics. The company also announced a merger with Comcast Corporation earlier this year. [4]

Recent Acquisitions and Activities

Acquisition of DukeNet Communications

DukeNet Communications, courtesy of DukeNet Communications

DukeNet Communications, courtesy of DukeNet Communications

This year, TWC announced that it has acquired DukeNet Communications, LLC, a fiber optic network that enables cloud computing and high bandwidth applications for enterprise, data center, government entities, intended for wholesale carrier costumers. By this $600 million transaction, Time Warner was able to add over 8700 miles to its service network. This allows the company to target a large number of customers in the Southeast, particularly enabling them to tap into the markets in North and South Carolina. It will also enable the Time Warner Cable Business Class to put the additional fiber capacity that DukeNet offers to use by offering enterprises and commercial firms services like high speed Internet and cloud enabled hosting.[5]

Merger with Comcast Corporation

Comcast Time Warner Cable

Comcast Time Warner Cable Merger, courtesy of The Wrap

Another activity that stirred a lot of controversy this year was Time Warner Cable’s merger with Comcast Corporation. Owning media companies like NBCUniversal, Universal Pictures and producer of multiple television channels including E! Entertainment Television, the Golf Channel, and NBCSL, Comcast is the largest Internet service provider and Cable Company in the United States, and the largest mass media and Communications Company in the world by revenue. The merger was a strategic win-win for both participants, as it would accelerate the delivery of Comcast’s Technologically Advanced Products and Services to Time Warner Cable’s Customers. The transaction, founded on the basis of future growth, will operate at a greater efficiency, creating multiple benefits for the two companies. They portmanteau company is looking forward to working with their team to adjust the operating cash flow levels.[6]

Sponsorship Deals:

In the past, Time Warner Cable did not have the healthiest relationship with Madison Square Garden. This was partly because they were competitors who successfully took a slice of the market share away from them by drawing fans in to switch cable companies so as to be able to watch Rangers and Islander games. However, in 2012, the two rival companies waved white flags and struck a multimillion dollar partnership instead. Time Warner agreed upon a long-term contract to become an official sponsor of MSG, replacing Absolut as a partner. [7]

Time Warner Cable has since been a sponsoring company, not only to sports series but also to musical concerts, covering everything from Knicks games to Madonna shows. This year, they are the official sponsors to Katy Perry’s MSG shows. They further use this partnership opportunity to leverage their On Demand Movie service. In this case, they are also using the MSG concert series to promote the pop sensation’s documentary movie, “Part of Me”. [8] [9]

 Upcoming Projects:

According to its Annual Investor’s Report, Time Warner Cable is positioning itself to continue generating strong operating results and financial results in the coming years. The company is aiming to improve its reliability, quality and customer service by revitalizing and scaling residential services, specifically video, phone, and HSD. Furthermore, TWC is emphasizing on rolling out next generation products  such as DVRs with an improved video on demand capacity of 75,000 hours. Since their IP video app was so successful on tablets universally, they are also looking into expanding community WiFi beyond the 200,000 hot spots that exist currently. [10]

Time Warner Cable’s New “Max”:

Additionally, TWC intends to re-brand its previous TWC City by City with TWC Max, starting with New York City and Los Angeles by the end of this year. The company will replace set top boxes with new boxes at no cost to the customer, plant certification programs, and carry all video in crystal clear digital format only. They will also implement significantly higher speeds and state-of-the-art in-home WiFis with its new acquisition of the nationwide fiber backbone. The company is also gearing its new technology towards other states to capitalize on future growth capacity.[11]

The current incarnation of Viacom was founded in 2005 after the company split from CBS Corporation and took certain media properties with it. Viacom — short for Video & Audio Communications — is owned by National Amusements Inc., which also owns CBS Corporation. [1]

Viacom owns a number of media outlets, including Paramount Pictures, MTV Networks, Comedy Central, BET Networks, Nickelodeon Networks, Spike TV, CMT and VH1, as well as music production and online divisions. However, this profile focuses on the television holdings of the company.

In 2013 Viacom has had a very successful third quarter, reporting $3.65 billion in revenue, up 9% from the third quarter last year. Net earnings for the third quarter were $806 million up 25% over the same period last year. Viacom’s total adjusted net earnings for 2013 were $2.32 billion, up 2% from the previous year. Viacom Media Networks, which accounted for $2.46 billion of that revenue, up 7% from the previous year’s third quarter, also accounted for revenue of $9.66 million in all of 2013, up 5% from last year [2]. For full 3rd quarter financials click here

This semester Viacom has been maintaining strong ratings for its established shows with returning seasons and relying on healthy ratings for event specials and award shows that have been held throughout the past few months and those that are scheduled in the coming months. These specials span the networks owned by Viacom and have battled both cable and broadcast shows for the top spot in the 18-to-49 demographic during their time slots. Viacom has also managed to effectively use social media to get more press for their specials and shows.

The first of these major events was the MTV Music Awards, which became national news because of the controversial performance by Miley Cyrus. The show was watched by nearly 10.1 million people and had the second highest viewership of any show on cable that week, losing only to A&E’s Duck Dynasty by 40,000 views [3]. The award show also topped most shows that week in the broadcast world for number of people who watched live or same day. The only show that beat out the Music Awards was Under the Dome, which aired that week on CBS [4]. The event was also a social media sensation, creating 120 national and worldwide trending topics on Twitter and 1.2 million like on Instagram [5]. The MTV Music Awards also broke a Twitter record: During Miley’s controversial performance 306 thousand tweets were tweeted per minute [5]. The show also garnered the ire of the Parents Television Council and was talked about across the news sphere for several days. in case you didn’t catch the performance you can see it here

Comedy Central has also done quite well this fall with strong showings from a number of returning shows as well as one new show, @midnight. Network ratings were up 10% across the board with Tosh.0 leading the way as the #1 cable program with males 18-to-24 [6]. That show was also the third most watched cable program on the night of its fall premier with two million viewers. [7]

The return of John Stewart to The Daily Show saw the show continue its dominance over late night in the cable world with The Colbert Report also coming in strong [8]. Key & Peele also have had a strong year, making number 1 in its time slot among men 18-to-24 and having 49% growth in audience from last season. [6]

South Park began its 17th season with stellar ratings. The season premier was the top show on cable among adults 18-to-49 and was the top show on TV among men 18-to-34 and men 18-to-24 [9]. Finally the network debut a new show @midnight to follow The Colbert Report. The show, which, Comedy Central had hoped would piggyback off of The Colbert Report, did more than that even beating Colbert in certain demographics. [10]

Another Viacom media property that has had a good fall is Nickelodeon. The station consistently led the total day viewership among cable networks including, for example the three consecutive weeks ending November 3 [11], November 10 [12] and November 17 [13]. Nickelodeon has also dominated cable networks among the 2-to-11 demographic. The network has been top in the kids demographic for six straight weeks [14]. SpongeBob SquarePants has helped propel Nickelodeon to such heights as the number one program with kids 2-to-11 [14]. Nickelodeon has also had nine straight months of year-over-year ratings gains.

Nickelodeon also had a special this weekend on Nick at Night: the TeenNick HALO Awards, which honored four teens for their community service and featured a number of celebrity guests. The show used social media to engage and connect with viewers by encouraging live tweeting and posts to Instagram with the hashtag #HALOawards [15]. Nickelodeon hoped that this interactive experience would change the way that award shows would take place in the future.

Another big upcoming event takes place on Viacom’s Country Music Television. CMT has done well this fall with music video ratings up from last year [6], but they’re hoping for a big boost from the upcoming CMT Artists of the Year special scheduled for primetime December 3. For more information on the event click here. CMT hopes to garner some solid ratings among certain psychographic groups especially the believer and maker psychographics.

The final Viacom network that just received a big boost is BET, which had two major events: one on Tuesday, November 19 and the other on December 1. On then 19th The First Lady of the United States appeared on 106 & Park, which has been the top music variety show on cable for the past 15 quarters [16]. Ratings for the special were not yet available as of noon on November 20th. On the 1st The Soul Train Awards hopes to duplicate the success seen by The BET Awards earlier this year.

Viacom has used its many networks to ensure that profits will continue to increase through the 4th quarter of 2013 and into 2014. The company’s strategy of getting strong showings from returning programs and excellent ratings on its large specials is working. The channels of the Viacom Media Networks clearly reach the demographics they are targeting and make Viacom one of the leaders in cable television programming.

Pandora Radio [6]

A Brief History

In January 2000, Tim Westergren founded a company called Savage Beast Technologies, based on his idea to develop a music genome. This technology was used to develop playlists based on individual consumer preferences. Westergren originally marketed these music recommendation service businesses without much success. In 2004, he shifted his target audiences from businesses to individual users and changed the name to Pandora. Listenership increased sharply. A 2007 ruling on increased royalty prices threatened to ruin Pandora, but the issue was resolved in 2009. The introduction of the iPhone app that allowed people to stream music was a game changer. [7]

Financial Information

Pandora earns the majority of its revenue (87%, 87%, and 88% in the last three years) through computer and mobile based advertising sales. The company offers a free subscription plan which generates revenue through these advertisements, as well as Pandora One, which offers a commercial free option to subscribers for a fee. The ability to reach audiences through mobile and other “on-the-go” devices has increased profits significantly. Total revenue has grown from $137.8 million in 2011 to $427.1 million in 2013. Pandora Media Inc.’s common stock on the NASDAQ market, NYSE, is currently valued at $28.45, a 1.01% decrease from its previous close, as it continues to fluctuate. Based on the latest report, Pandora has over 70% share of internet radio within the top 20 stations in the United States. [8]

The Numbers [8]

Year Total Revenue (in millions): Listener Hours (in billions): Active Users (in millions):
2011 $137,800 3.83 29.3
2012 $274,340 8.23 47.6
2013 $427,145 14.01 65.6

About Pandora

Pandora's Business Model [18]

Pandora’s Business Model [9]

By allowing its subscribers to dictate the type of songs and comedy they want to hear, Pandora has become internet radio’s market leader in the United States. Listener playlists are developed based on their feedback from a library of songs that have been categorized based on hundreds of musical qualities. Since its inception, Pandora has grown to have 200,000,000 registered users, over 1,000,000 songs in its collection, over 4 billion stations created, and has expanded internationally to Australia and New Zealand. Listeners can mix up to 100 stations, customizing them to their liking. They can also create profiles and connect with others based on mutual preferences. In addition to computers, Pandora has expanded to mobile “apps” on smartphones such as Blackberry, Android, the iPhone, and other interactive devices including the Android tablets, iPad, and Amazon Kindle Fire, and the Nook. Pandora made deals with car companies, including BMW and Buick, and can now be accessed in vehicles. [10] [11]

Pandora’s executive team recognizes the need to accommodate the individual musical tastes of subscribers. The Music Genome Project® is the most intricate system ever created to choose music based on its characteristics. Trained musicologists thoroughly analyze songs based on attributes such as voice, tone, genre, and rhythm. The library includes everything from the week’s Top 40 to classic hits from past decades. The project is often compared to human DNA because every detail is diverse. Musicologists utilize the data stored in the Music Genome Project® to create a satisfying, unique listening experience for all. [14]

Pandora Presents

“Pandora Presents” is Pandora’s series of live concerts that allow listeners to connect with their favorite artists. Originating in 2012, these performances continue to be a successful display of user appreciation and set Pandora apart from competition. Pandora employees personalize it further by using listenership they have identified for specific artists to invite certain users to attend the show. [16]

During a recent October concert in Los Angeles, recording artist, Bridgit Mendler, mentioned Pandora’s role in helping to develop her fan base. [17] Celine Dion performed in New York City on October 29, 2013, promoting her new album “Loved Me Back to Life.” Past entertainers include Dr. Dog, Walk the Moon, Theophilus London, and other emerging artists.

Pandora Media vs. iTunes Radio

Pandora vs. iTunes Radio

Pandora vs. iTunes Radio [19]

With Apple Inc.’s recent release of its new service, iTunes radio, Pandora’s competition continues to grow. Like Pandora, it creates playlists based on the music the listeners’ choose. It also features the same service options, one with advertisements and commercial free iTunes Match. iTunes Radio allows users to view their entire history and categorize songs by “Hits,” “Variety,” and “Discovery.” [19] Both services allow users to post to Twitter or Facebook, but while Pandora posts both song and station, iTunes only provides the latter. Apple hopes their loyal 575 million iTunes users will convert to iTunes Radio.

Despite the fact that this new application is just as technologically advanced, Mike Herring, Pandora’s Chief Financial Officer, stated that listening hours grew 9% since last month. Pandora’s market share rose to 8.06% in October 2013 from 7.77% in September, when iTunes Radio was first released. [20]

Other Competition: Pandora Media Inc. also competes with broadcast radio providers including Clear Channel, CBS and Sirius XM, a satellite radio provider. Additional rivals include online radio providers such as CBS’s Last.fm, Slacker Personal Radio, and Clear Channel’s iheartradio and interactive media stations RDIO, Apple’s iTunes Music Store, Spotify, Rhapsody, and Amazon. [8]

Pandora Mobile  [22]

Pandora Removes 40-Hour-Per-Month Limit: Pandora has removed its 40-hour-per-month limit on free mobile listening, allowing people unlimited time to use the service. Pandora was able to make this change due to its success in mobile revenue advertising, trailing only Google and Facebook. The limit was placed in March 2013 to control royalty costs, but management eliminated it to stay on top of their competition. [21]

iPad Redesign: On September 18, 2013, Pandora released the Pandora 5.0 for the iPad. This was the greatest redesign of the app since its launch in April 2010. The iPad’s large screen and touch capability allows users to easily navigate and search their favorite music. This update was made for Android tablets as well. Pandora 5.0 features more intricate music discovery and exploration, a personal music profile and newsfeed, and the ability to connect and share music with friends. [23] [24]

Pandora on Google Chromecast: Pandora is also now available on Google Chromecast, a TV-connected device that delivers audio and video signals wirelessly to any screen in your home. Chromecast consumers can now use Pandora with the click of their smartphone or tablet. Once the music is sent to the television, the device is no longer needed for the music to continue. The Play, Pause, Thumb, and Skip buttons are still managed through the mobile device used. Listeners can customize the music they choose with Google Play or the App Store. [25] [26]
