Time Warner, Inc. is an entertainment and media conglomerate whose works and influence reaches all over the world. First created in 1989 in a $14 billion merger between Time, Inc. and Warner Communications, Time Warner now owns magazines such as Time, People, and Sports Illustrated; HBO, The CW, and Cinemax, as well as the Turner Broadcasting System, which in turn holds networks such as TBS, CNN and Cartoon Network; DC Comics; and one of the world’s largest production companies, Warner Brothers Entertainment. The company has undergone a few trouble spots in the past, including a $164 deal with AOL in the year 2000. [5]. The deal, which eventually proved to be misguided and led to major financial losses in 2002, was said to be “the biggest mistake in corporate history” by current CEO and Chairman Jeff Bewkes. [6]. That being said, Time Warner has since rebouded and is currently enjoying success from several of its assets, including HBO and Warner Brothers, and is looking forward to the completion of an acquisition, with a total transaction value of
$108.7 billion, with AT&T. [7].

Financial information

Time Warner is a publicly traded company on the NYSE under the ticket TWX. As of 11/17/16, their current stock price is $93.20, as compared to one of their primary competitors, Walt Disney Co., who is at $98.82. [9]. On Oct. 27 the company announced cash dividends for Common Stock at $0.4025 per share, with a record date of Nov. 30. and a payment date of Dec. 15. [10] [11]. Thanks in part to the AT&T announcement, Time Warner’s stock has been on the upswing, having increased nearly 22.07% since April 2016; additionally, about 67% of analysts covering Warner’s stock rate this as a good time to buy. In Warner’s 3rd quarter reports for 2016, total revenues for Turner, HBO, and Warner Broadcasting combined were at more than $7 billion, and there was an increase of $153 million in cash and cash equivalents. [13]. With the recently released Fantastic Beasts and Where to Find Them and HBO’s Westworld recently having success, revenues from ticket sales and merchandising for Time Warner can be expected to increase in 2016’s 4th quarter, and should give the company a strong year-end yield. Warner Bros., which was founded in 1923 and notably produced the first “talkie” in 1927’s The Jazz Singer, is one of the largest production companies in the world, with both New Line Cinema and DC Films in its toolbox. [16]. In 2015, Warner Bros.’ worldwide box office receipts exceeded $3 billion for the ninth consecutive year ($3.71 billion worldwide), and saw both international and domestic reaching the billions. [17].

The company houses several major franchises, including the Matrix series, the Harry Potter Franchise, and the world of DC Comics. In 2016 alone, multiple films were released to massive success, including Batman v Superman: Dawn of Justice, Sully, Suicide Squad, and Fantastic Beasts and Where to Find ThemSuicide Squad was in theaters for an impressive 14 weeks and earned more than $700 million worldwide, while Fantastic Beasts has been open for less than two weeks and has already made nearly $500 million. This success will likely carry into 2017, as Wonder Woman, Justice League, and two more animated Lego movies are all slated for wide release. [21].

In news besides its releases, Warner Bros. also recently announced it will acquire Machinima, a “global programming service and production company” with a focus on gamer culture. [23]. The deal, which was estimated to be just slightly under $100 million, will allow Machinima to be its own entity within the Warner Bros. Digital Networks. [24].

Home Box Office, or HBO, is one of Time Warner’s most successful divisions. In terms of its financial performance, in the 2016 third quarter HBO’s revenues increased 4%, or $59 million, to $1.4 billion due to a 5% increase in subscription revenues. [12].

HBO’s content has gone over incredibly well with viewers. HBO took home 22 Primetime Emmys at the 2016 Emmy Awards, the most of any other network for the 15th year in a row. [12] [29]. Shows such as Veep, Game of Thrones, and Last Night with John Oliver all have loyal fan bases, while newcomer Westworld premiered in October 2016 to more than 13 million viewers. [12].

In other news, HBO just recently launched a new video streaming service in Spain, HBO España, that is expected to very well. The service offers both original HBO content, as well as films and programming from other networks as well, like Disney, Nickelodeon, and other Spanish programming. [30].

AT&T is looking to purchase Time Warner, Inc. in a $85 billion deal, and despite many setbacks, AT&T is confident the deal will go through. [25]. Were the FCC to oversee this deal, the time frame would have been elongated and the deal itself would be much less likely to go into effect. However, it is likely the deal will not be subject to the tight restrictions set by the FCC, as the FCC may be excluded from the process and the decision will be made by the Department of Justice. Randall L. Stephenson, the CEO of AT&T, is very optimistic regarding this scenario and said this deal will satisfy not only those looking for earnings growth, but also investors that are simply searching for income. [27]. However, this deal will cause AT&T to push its debt upwards of $190 billion. [27]. The average user of DirecTV Now will pay $35 per month, which translates to $1.32 gross margin, and despite an apparent lack of funding, there are expected to be approximately 15 million paid subscribers by 2020. [26].

Many investors are skeptical of the deal and doubt the level of success predicted by AT&T. AT&T, being the only company of its competitors to move in this direction, will be able to corner a large section of the market before anyone else. Through securing customers with a low price now, AT&T hopes to attract many more consumers in the future while still being able to raise the price of service as necessary. [26]. Furthermore, AT&T wants to boost their wireless business in an attempt to take back some of the market from other wireless companies. They plan to do this by allowing wireless users to watch DirecTV without using data. This is known as zero-rating and it’s frowned upon by the FCC because it would allow for AT&T to reduce competition, especially among its own assets. [25]. Between the low prices as well as other incentives to switch, AT&T is focused on increasing its consumer following as opposed to generating revenue. Revenue will theoretically be the focus after AT&T has accrued a mass following. In addition, it’s predicted there will be less subscription cancellations as well as a large boost in advertising revenue. [25]. Should the deal be successful, it will be one of the largest to date and will push AT&T further ahead of competitors. Should the deal not be approved, or even fail, AT&T will have to tread very carefully to avoid serious damage to the company’s finances, as well as the integrity of the company.

In 1923, Polish immigrant brothers, the Warners, created the film company Warner Brothers Pictures Inc. in Los Angelos. [2]  In 1972, Kinney National Company bought Warner Bros. and established Warner Communications (WCI). [2] In 1989, Time Inc., which was at the time, the third largest cable operator in the country, merged with WCI and Time Warner was formed. [3] The company purchased Turner Broadcasting System in 1996. [3] In January 2001, a $106 billion merger between AOL and Time Warner was approved. [2] The company was called AOL Time Warner, but in 2003 it became just Time Warner. [3] In 2009, Time Warner split with AOL. [2]

September 2013: HBO is set to release a new series, Looking, which stars Jonathon Groff, best known for Glee and the broadway show, Spring Awakening. The series centers on the life of three gay friends living in San Francisco. The show is created by Andrew Haigh and is set to be released Sunday, January 19th at 10:30 p.m. on HBO. It is currently filming in San Francisco. [9]

September 2013: Susan Lacy is moving from PBS to HBO to produce and direct documentaries for HBO. She is best known as the creator and executive producer of American Masters,  a television series that documents the history of icons of American culture. [17] As well as numerous Emmys for American Masters, Lacy has received an Emmy for “Outstanding Documentary or Non-Fiction series” for Inventing David Geffen[17]

November 2013 – HBO signs John Oliver to star is a comedy series set to start in January 2014. The show will be weekly on Sunday nights and will take a satirical view on the news and current events. John Oliver will be leaving The Daily Show with John Stewart to join the HBO family. [10]

 Turner Broadcasting System: 

October 2013: Turner Broadcasting and Verizon announced a multi-year renewal agreement to provide Turner’s Networks, including CNN, TBS, TNT and Cartoon Network, to Verizon FiOS TV  subscribers across a plethora of platforms. This is a long term distribution agreement that will give FiOS TV subscribers’ access to a large array of on-demand programming. [26]

October 2013: A disagreement over prices between Cable ONE and Turner Broadcasting led Turner to cut channels from Cable ONE on October 1, 2013. [13] A Cable ONE press release stated that Turner Broadcasting wanted an almost 50% increase in price for the channels. It was the largest recess of channels in the company’s history. [14] Cable ONE has 730,000 customers in 19 states and is the 10th largest cable company in the U.S. [14] On October 26, 2013 Cable ONE, according to The Anniston Star, “has reached an agreement with Turner Broadcasting System Inc. to restore Cable One’s carriage of Turner’s channels CNN, CNN en Espanol, HLN, Turner Classic Movies, TNT, TBS, Cartoon Network, truTV and Boomerang.” [13]

 October 2013: TNT showed exclusive NBA coverage of the Miami Heat against the Chicago Bulls game on Tuesday, Oct. 29, at 8 p.m. ET. The game was the second highest-rated and most-viewed opening night game in network history with 5.4 million viewers and a 3.3 U.S. rating. [7]

November 2013 : Turner Broadcasting is being forced to pay a $25,000 fine by the Federal Communications Commission[15] In April 2012, a promotional gag for TBS’ Conan used the emergency weather tones to gain attention for a commercial advertising the appearance of Jack Black on the show. The FCC has warned broadcasters not to air the real EAS tones for any reason other than airing a real alert or a test to avoid panicking the public. [15]

Brief History:

In 1979 Galavisión was the first spanish-language cable network to launch nationwide. During the 1980’s Hallmark Inc. and it’s minority partner First Chicago Venture Capital bought the Spanish International Network television stations, which included Galavisión. The new owners renamed the Spanish International Network to what is now known as Univision Network.[2]
In the 1990’s A. Jerrold Perenchio, Televisa and Venevision acquired Univision from Hallmark Inc. Since then Univision has expanded into various media platforms including radio and digital. Univision Communications Inc. owns and operates various television networks that broadcast sports, music, films, dramatic stories, reality shows, etc. Univision is considered to be the leading media company serving Hispanic Americans. Third quarter 2013 net revenue increased by 10.1% to $692.7 million from $628.9 million in 2012. Also stated is the adjusted operating income before depreciation and amortization (OIBDA) increased by 9.2% to $301.8 million from last year’s $276.5 million. The third quarter came to an end on September 30, 2013 and for the past nine months, the net revenue increased by 9.1% to $1,931.2 million from $1,770.3 in the previous year. Meanwhile the OIBDA also increased to $824.3 million from $713.9 million in 2012. [7]

Univision Deportes Leads the Pack in the 2013 Third Quarter

Univision Deportes Network (UDN) is a 24-hour Spanish-language sports network dedicated to providing the Hispanic community with the most sports on a daily basis.UDN was launched in April 2012 and it’s owned by Univision Communications Inc. In the third quarter of 2013 UDN outperformed ESPN Deportes and Fox Deportes, making UDN the number one Spanish-language sports network nationwide. UDN also announced that Nielsen will now be able to publicly report ratings for the sports Network. [9]

Primetime viewing audiences for the 2013 third quarter [9]:
Univision Deportes Network 52,000 Adults 18-49; 83,000 P2+
FOX Deportes 31,000 Adults 18-49; 55,000 P2+
ESPN Deportes 31,000 Adults 18-49; 54,000 P2+

These numbers insinuate that Univision Deportes Network is the fastest growing Spanish-language sports channel on the air. Since the recent Time Warner agreement, UD currently reaches 35 million households .

The UDN surpasses all the other Spanish-language sports networks in various aspects. In the 2013 third quarter, Univision’s sports network broadcast more live sporting events than it’s Spanish-language competitors. It reportedly aired 176 live events, which is more than both ESPN Deportes and Fox Deportes.

UDN also had a very strong third quarter in the social media department. Since July, Univision Deportes Facebook page has been engaged by fans about 4 times as much as Fox Deportes page and 8 times as much of ESPN Deportes. Meanwhile during the Gold Cup game, Univision Deportes received more social media activity and engagement than Fox Soccer. Throughout the tournament, UDN had about a 25% larger audience on Twitter per match than Fox Soccer. It also had a 30% average Twitter activity per match than Fox Soccer. [9]

Univision Deportes App for Xbox One

In early November 2013, Univision Communications Inc. announced the launch of the Univision Deportes app for Xbox One, which will make it’s debut on November 22, 2013. This app will be the first Spanish-language sports app launched on Xbox One in the country. [11]

The Univision Deportes app will give fans a rare soccer experience by providing them with live streaming and VOD content of Liga MX, the Mexican National Teams and the 2014 World Cup, which are all considered to be some of the most popular sports properties worldwide. [11]. The app will also give sports fans 24/7 worldwide soccer coverage, which includes sports news updates, real-time scores and stats, videos and photographs of all the important soccer tournaments and leagues around the world.

HSN Partners Up With Univision to Create an Online Boutique

HSN, the home shopping network, has partnered up with Univision Communications to reach a large amount of the hispanic market. The three-year partnership includes the development of a new shopping portal called Boutique Univision on Univision.com.

Boutique Univision offers electronics, fashion beauty, home decor and cookware products. The shopping portal will also include popular brands such as Vince Camuto, Samsung, Apple, Curtis Stone and Lancôme. These products and brands have been specifically selected for Hispanic costumers.[13]

Promotions for the online boutique began last Thursday (Nov. 14), with popular HSN host Lesley Ann Machado as a special guest on Univision’s morning show “Despierta América.” During the show, Machado and original host Maggie Jiménez announced the creation of Boutique Univision.

HSN has also been promoting the new portal on its network. HSN featured live feed of the announcement during a segment that included chef Lorena Garcia. Jiménez was a guest on the HSN show “Beauty Report” and discussed the fashion and beauty products available on Boutique Univision.

HSN decided to partner up with Univision due to the company’s ability to reach a large number of the Hispanic demographic. The chief marketing and business development officer at HSN Inc., Bill Brand noted “We are able to reach this Hispanic consumer through the most trusted brand in their community, and that’s Univision. That’s an unprecedented opportunity for us.”[13]

Univision & Toyota Announced Trans-media Partnership

Earlier this month, Univision Communications Inc. and Toyota announced a trans-media partnership that integrates Toyota automobiles into Televisa’s brand new telenovela “Lo Que La Vida Me Robo.” Part of the partnership includes, Toyota as the main sponsor of this new telenovela, which first aired November 18, 2013. Through this partnership Toyota will be able to reach and influence an entirely new demographic across all media platforms. The two companies have combined various media platforms such as television, digital and social media in order to provide consumers with an immersive multi-platform experience and also to introduce exclusive and interactive opportunities. [15]

Throughout the broadcast of “Lo Que La Vida Me Robo” fans have access to the main characters of the telenovela through a digital correspondence feature, which allows them to become active participants in every new plot twist [15]. Additional content related to the telenovela is also made available to fans. Another way for fans to gain access to exclusive content is through Univision apps but only users who opt to sync up with the Toyota experience will gain access.

Warner Bros Pictures has produced and distributed thousands of titles since 1923 when it was founded by Albert, Sam, Harry and Jack Warner. WB is responsible for many iconic moments and accomplishments in the entertainment industry. To start, they are responsible for the first film with sound, The Jazz Singer. Following this Warner Bros had decades of success, even producing up to 40 movies a year during the 1940s. Jumping forward to the 1990s, Time Inc. and Warner Bros intertwined and became Time Warner, one of the powerhouses of todays entertainment industry. Warner Bros Pictures, as a subsidiary of Time Warner, produces between 18 and 22 movies a year and currently grosses over $4 billion a year. That brings us to our current place in time, post “The Dark Knight” and “Harry Potter” era, when Warner Bros Pictures was in charge of two of the most successful movie series of all time. [1] [2]

In Time Warner’s final quarterly report of 2012, it explains Warner Bros Pictures grossed $4.3 billion worldwide; this was predominantly led by The Dark Knight Rises and The Hobbit: An Unexpected Journey. Warner Bros Pictures also received two Golden Globes this year, which included Best Motion Picture- Drama for Argo. Along with the Golden Globe achievements, Warner Bros. The biggest thing to happen during this Spring to affect Warner Bros. Pictures actually was not a change made in the company. Warner Bros Entertainment, WB Pictures parent company, appointed a new CEO. Kevin Tsujihara announced he would be taking control of the mega-entertainment company as of March on January 28th, 2013. It is announced that the first Hobbit movie hit its $1 billion mark and the rest of the trilogy has already been planned out. The final Hobbit Movie will be released in December of 2014, after the second installment of the series is released in December of 2013. Tacking on to the end of the Lord of the Rings series this spin-off proved to be just what the world wanted to see grossing $301.4 domestically and over $700 million internationally to date. [8]

On March 8th, Warner Bros Pictures and Paramount announced that together they would co-produce and distribute, Academy Award nominee and billion-dollar movie maker Christopher Nolan’s next film. The Film, titled “Interstellar”, is sci-fi and will entail Nolan’s customary heroic story line. The fact that these two powerhouse studios are teaming up to produce and distribute this film together is extremely rare because the two do not normally work together on major releases. [9]

While not much has been released yet, it is now public knowledge that a new Godzilla is in the works and will be released and distributed in 3D by Warner Bros. on May 16th, 2014. The film has Aaron Taylor-Johnson, Ken Watanabe, Elizabeth Olsen and Juliette Binoche starring in the film. [10]

Warner Bros Pictures is currently ramping up for a very busy spring and early summer with summer blockbusters that many people are looking forward to and could possibly define a top box office summer. Starting in early April we see the true life story of Jackie Robinson in 42 and following this we see our first summer blockbuster the re-make of F. Scott Fitzgerald’s timeless classic The Great Gatsby. Then directly following this, just two weeks later we see the next installment of our favorite party-crazed drunks in The Hangover 3. Finally, most likely the most anticipated superhero movie of the summer, Man of Steel, the next Superman movie is released in June.

Most Recently Warner Bros Pictures shined as a main attraction at WonderCon

With the upcoming release of Pacific Rim, Warner Bros decided to use this time with a huge collection of its target audience (at WonderCon) to debut a clip from the scene and hear from director, Guillermo del Toro. The scene creates enough suspense and confusion to make every nerd and non-nerd alike in the room anxious to run to the theaters on its opening weekend (July 12, 2013) to see the film. [11]

This has been a very busy late-winter and spring for Warner Bros Pictures with a number of huge films debuting at the beginning of this summer and a lot of films released during this time period. With all this in mind, it makes sense that there are so many presidents under Jeff Robinov to break up all of the executive work that keeps this studio at the top of its game.
