Company

Time Warner Inc (headquartered in New York City) is an international media and entertainment conglomerate. The conglomerate is segmented into three divisions: Turner is the branch of the company consisting of cable networks and digital media. Home Box Office (HBO) is the company’s domestic premium television and streaming service which includes international premium pay. Warner Bros is the segment of the company primarily responsible for the company’s role in entertainment for television, feature length films, video-games and home video production and distribution [1].

Background

Time Warner Inc. was originally founded in 1923, under the name Warner Brother Pictures Inc. Under the direction of Polish immigrant brothers Harry, Albert, Sam, and Jack Warner, Time Warner Inc. has gone from being a nickelodeon in Pennsylvania, to one of the largest media conglomerates in the world by partnering with Home Box Office Inc. and Turner Broadcasting [2].

Television Success

One of Time Warner Inc.’s most valuable assets is HBO. The premium television service is widely recognized today for its show Game Of Thrones, but their fall series premiere of Westworld has taken viewers by storm.  The series premiere telecast drew 3.3 million viewers across multiple platforms by the following morning.  This opening was 1.1 million viewers greater than the first day Game Of Thrones was released back in 2011 [3]. Westworld has been approved for a second season [4] due to increased viewership from streaming services HBO Go and HBO Now, which allows viewers access to HBO programming without a subscription to the traditional HBO television service.  

Film Success

In September 2016 Time Warner acquired the commercial and tv rights to the “Star Wars”  collection, (valued at $250 million) including “Rogue One: A Star Wars Story” and “Star Wars: A Force Awakens.”  The deal makes TBS and TNT the only networks with legal rights over the series. Time Warner made a strategic move during a volatile in which networks are hustling to lock up as much content that already has a formidable audience attached to it. The DC subsidiary of Warner Bros. is sufficiently lucrative for the entire company. In relation to the 10 DC series on air this season, total revenues for the line up have surpassed $1 billion. The CW, the joint television station owned by Warner Bros. and CBS Corp. is home to half of those series. 

Warner Brothers has seen its share of success since September.  With movies such as Suicide Squad earning a total gross of $325.1 million [5] and Fantastic Beasts and Where to Find Them earning a total gross of $158.1 million [6] in just two weeks has earned Warner Brothers a total gross income of roughly $806 million since the beginning of September. 

Company Fallbacks 

Since September, a negative mark against Time Warner Inc’s overall performance  is due to low ratings for Turner Broadcasting. Turner is most known for it’s networks like TNT, TBS, CNN, Adult Swim, HLN, and Cartoon Network. ratings are down 14% across all networks as younger demographics are opting more for streaming services like Netflix and Hulu. As of more recently, quarter three of 2016 came in with numbers 8% lower than they were this time last year [7]

The other recent flaw for Time Warner Inc. has been Warner Brothers.  Asides from three recently released movies, every other movie released after August has struggled to even reach its budget.  If Suicide Squad, Fantastic Beasts and Where to Find Them, and Sully, weren’t counted in the total gross, Warner Brothers would not have made enough money domestically to fund the movies.  While this is upsetting for Time Warner Inc. they cannot be too disappointed because this is the best year [8] that Warner Bros has had since 2009 thanks to releases earlier in the year. 

The financial success of the studio does not come without its qualms. In October 2016, Director Rick Famuyiwa walked away from directing The Flash with mention of creative differences between himself and the studio as the reason for his departure [9]. Before Famuyiwa, Seth Grahame-Smith stepped down from his role as director of the same film. Analysts claim that the tension between the creative vision directors are hired to develop and the executive oversight Warner Bros exercises over such projects could impact the studio’s ability to hire directors in the future, not just for their DC projects.

AT&T and Time Warner Inc.

Time Warner’s market value currently hovers at approximately $62 billion with AT&T in position to buy the company for $85.4 billion (as of October 22nd). In September and October 2016, senior executives from both AT&T and Time Warner met informally to discuss business strategies as well as a potential merger [10] of the two conglomerates. Acquiring Time Warner would allow AT&T to control one of the world’s major providers of pay-TV and one of the nation’s largest wireless and home internet providers. AT&T would also stand to inherit an extensive collection of content and programming from HBO to CNN as well as Cartoon Network and NBA basketball programming. If the deal is approved, Jeff Bewkes will resign from his position as CEO of Time Warner Inc after the transitional phase. President Elect, Donald Trump, however has spoken against the merger having said that his administration “will not approve [the deal]…because it’s too much concentration of power in the hands of too few.”

Time Warner Finances Going Forward

The news of a merger is coming off of a strong third quarter showing from Time Warner Inc. Coming less than two weeks after the announcement of the AT&T merger, Time Warner reported a third quarter earnings of $1.83 per share on a revenue of $7.2 billion, which was a 9% increase from the expected earnings of $1.37 per share on a revenue of $6.98 billion. These impressive third quarter earnings are a result of many recent successes in content produced by Time Warner, including HBO. Home Box Office saw a 4% increase in revenue to $59 million. Yet, in 2016 while content proved to be king, HBO also saw its content library decrease. With a potential influx of cash due to the potential AT&T merger, HBO can see itself become more like Netflix faster than Netflix can become HBO, contrary to the quote [12] of Netflix CEO Ted Sarandos. Due to the $85 billion dollar pay day Time Warner would receive for the merger, HBO could see its budget for original content increase from $2.2 billion, just a third of what Netflix spends on content. The merger could also result in an affirmation of Jeff Bewkes proposal for “TV Everywhere”[13]. Although the idea has not been a success, AT&T could make it a reality with their wireless subscription package. This idea of Time Warner putting their content “everywhere” will allow for shows like Game of Thrones or Westworld to vastly increase their audience.

Overview

Although many changes are likely coming to Time Warner, no immediate changes will be apparent in the near future. The focus for this next quarter, as well as the new year, will be on accelerating user subscriptions [14] for HBO Now, which could increase in the merger with a bundle package offered with AT&T services.

Company

Time Warner, Inc. is an entertainment and media conglomerate whose works and influence reaches all over the world. First created in 1989 in a $14 billion merger between Time, Inc. and Warner Communications, Time Warner now owns magazines such as Time, People, and Sports Illustrated; HBO, The CW, and Cinemax, as well as the Turner Broadcasting System, which in turn holds networks such as TBS, CNN and Cartoon Network; DC Comics; and one of the world’s largest production companies, Warner Brothers Entertainment. The company has undergone a few trouble spots in the past, including a $164 deal with AOL in the year 2000. [5]. The deal, which eventually proved to be misguided and led to major financial losses in 2002, was said to be “the biggest mistake in corporate history” by current CEO and Chairman Jeff Bewkes. [6]. That being said, Time Warner has since rebouded and is currently enjoying success from several of its assets, including HBO and Warner Brothers, and is looking forward to the completion of an acquisition, with a total transaction value of
$108.7 billion, with AT&T. [7].

Who are some key executives?

Financial information

Time Warner is a publicly traded company on the NYSE under the ticket TWX. As of 11/17/16, their current stock price is $93.20, as compared to one of their primary competitors, Walt Disney Co., who is at $98.82. [9]. On Oct. 27 the company announced cash dividends for Common Stock at $0.4025 per share, with a record date of Nov. 30. and a payment date of Dec. 15. [10] [11]. Thanks in part to the AT&T announcement, Time Warner’s stock has been on the upswing, having increased nearly 22.07% since April 2016; additionally, about 67% of analysts covering Warner’s stock rate this as a good time to buy. [11].

In Warner’s 3rd quarter reports for 2016, total revenues for Turner, HBO, and Warner Broadcasting combined were at more than $7 billion, and there was an increase of $153 million in cash and cash equivalents. [13]. With the recently released Fantastic Beasts and Where to Find Them and HBO’s Westworld recently having success, revenues from ticket sales and merchandising for Time Warner can be expected to increase in 2016’s 4th quarter, and should give the company a strong year-end yield. [14].

Warner Bros., which was founded in 1923 and notably produced the first “talkie” in 1927’s The Jazz Singer, is one of the largest production companies in the world, with both New Line Cinema and DC Films in its toolbox. [16]. In 2015, Warner Bros.’ worldwide box office receipts exceeded $3 billion for the ninth consecutive year ($3.71 billion worldwide), and saw both international and domestic reaching the billions. [17].

The company houses several major franchises, including the Matrix series, the Harry Potter Franchise, and the world of DC Comics. In 2016 alone, multiple films were released to massive success, including Batman v Superman: Dawn of Justice, Sully, Suicide Squad, and Fantastic Beasts and Where to Find ThemSuicide Squad was in theaters for an impressive 14 weeks and earned more than $700 million worldwide, while Fantastic Beasts has been open for less than two weeks and has already made nearly $500 million. This success will likely carry into 2017, as Wonder Woman, Justice League, and two more animated Lego movies are all slated for wide release. [21].

In news besides its releases, Warner Bros. also recently announced it will acquire Machinima, a “global programming service and production company” with a focus on gamer culture. [23]. The deal, which was estimated to be just slightly under $100 million, will allow Machinima to be its own entity within the Warner Bros. Digital Networks. [24].

Home Box Office, or HBO, is one of Time Warner’s most successful divisions. In terms of its financial performance, in the 2016 third quarter HBO’s revenues increased 4%, or $59 million, to $1.4 billion due to a 5% increase in subscription revenues. [12].

HBO’s content has gone over incredibly well with viewers. HBO took home 22 Primetime Emmys at the 2016 Emmy Awards, the most of any other network for the 15th year in a row. [12] [29]. Shows such as Veep, Game of Thrones, and Last Night with John Oliver all have loyal fan bases, while newcomer Westworld premiered in October 2016 to more than 13 million viewers. [12].

In other news, HBO just recently launched a new video streaming service in Spain, HBO España, that is expected to very well. The service offers both original HBO content, as well as films and programming from other networks as well, like Disney, Nickelodeon, and other Spanish programming. [30].

AT&T is looking to purchase Time Warner, Inc. in a $85 billion deal, and despite many setbacks, AT&T is confident the deal will go through. [25]. Were the FCC to oversee this deal, the time frame would have been elongated and the deal itself would be much less likely to go into effect. However, it is likely the deal will not be subject to the tight restrictions set by the FCC, as the FCC may be excluded from the process and the decision will be made by the Department of Justice. Randall L. Stephenson, the CEO of AT&T, is very optimistic regarding this scenario and said this deal will satisfy not only those looking for earnings growth, but also investors that are simply searching for income. [27]. However, this deal will cause AT&T to push its debt upwards of $190 billion. [27]. The average user of DirecTV Now will pay $35 per month, which translates to $1.32 gross margin, and despite an apparent lack of funding, there are expected to be approximately 15 million paid subscribers by 2020. [26].

Many investors are skeptical of the deal and doubt the level of success predicted by AT&T. AT&T, being the only company of its competitors to move in this direction, will be able to corner a large section of the market before anyone else. Through securing customers with a low price now, AT&T hopes to attract many more consumers in the future while still being able to raise the price of service as necessary. [26]. Furthermore, AT&T wants to boost their wireless business in an attempt to take back some of the market from other wireless companies. They plan to do this by allowing wireless users to watch DirecTV without using data. This is known as zero-rating and it’s frowned upon by the FCC because it would allow for AT&T to reduce competition, especially among its own assets. [25]. Between the low prices as well as other incentives to switch, AT&T is focused on increasing its consumer following as opposed to generating revenue. Revenue will theoretically be the focus after AT&T has accrued a mass following. In addition, it’s predicted there will be less subscription cancellations as well as a large boost in advertising revenue. [25]. Should the deal be successful, it will be one of the largest to date and will push AT&T further ahead of competitors. Should the deal not be approved, or even fail, AT&T will have to tread very carefully to avoid serious damage to the company’s finances, as well as the integrity of the company.

Founded in 1982 by University of Alabama graduate John Hendricks, Discovery Communications has become one of the most influential companies in the global cable market. Discovery struggled at first, but deals with the cable operators such as Telecommunications Inc, Cox Cable Communications, and Newhouse Broadcasting group soon arose. By June of 1986, Discovery had seven million subscribers; spurring the company to commission its first original program, Iceberg Alleyin 1989[11] [4]

Discovery Communications has become one of the leaders in global entertainment. The company consists of 33 channels worldwide, three full-service production studios, and in the US, 13 cable and satellite networks that compromise the industries most widely distributed portfolios in the US. This portfolio includes three major channels: Discovery Channel, TLC (formerly The Learning Channel) and Animal Planet. These three channels reach over 91 million households in the US and have kept Discovery Communications at the top of the industry. For the 2016-2017 Programming Slate, Discovery announced that their lineup would consist of 22 returning shows, but also 20 new shows as well. Cooper’s Treasure Sacred Steel, The Wheel, and a Deadliest Catch spin-off,  Deadliest Catch:Dungeon Coveare four of the highly anticipated shows coming out this season. Discovery also announced that they would be launching a revolutionary anthology series called Discovery ImpactThe series was aired at the 2016 Sundance Film Festival and will focus on the impact that mankind has had on the earth’s environment, as well as what individual people can do to solve the global environmental issues.[9] Fan favorites like Naked and Afraid, Gold Rushand Bering Sea Gold are on the roster for this year as well. The week long event Shark Week has been kept on as well. Last year’s Shark Week had the highest ratings ever for the event. All of these programs have kept Discovery at the top of the pack, but there are still gaps that need to be filled in this programming giant’s empire. [1]

Financials

According to the third quarter reports, net income available to Discovery decreased 22% to $219 million from $279 million due to a $50 million after-tax impairment charge because of a Lionsgate investment and higher equity-based compensation. This was fractionally offset by a decrease in taxes, currency-related transaction gains, and higher contribution from equity investors income. Discovery’s earnings per share (EPS) decreased 16% to $0.36 because of lower DCI Net Income, but that was partially offset due to lower shares outstanding.  Adjusted EPS decreased 15% to $0.40 compared to $0.47 of last years third quarter. Free cash flow dramatically increased 75% to $410 million due to lower cash taxes and the timing of working capital.[3] With all of this financial information, it seems as though Discovery has done well for itself in the third quarter, but there are some concerns within the company about distributing media more effectively and their ranking in the stock exchange.[7]

While Discovery is considered to be wildly successful, the company is not immune to hardships. Discovery posed an earnings surprise (down) of 16.39% and in the past three of four quarters has had an earnings surprise averaging 6.02%. These swings in earnings are due to the company’s struggle to produce advertising revenue. Also, problematically, a major source of its revenue comes from 10% of its customers.[15]

Stocks at discovery have been sporadic over the years. While the company was doing well in 2015, once 2016 hit, Discovery seemed to take a sharp drop, according to the NASDAQ. Stock has been consistently declining over the past months, but there is still hope for Discovery. With the growth of online streaming and OTP (over the top), many customers are cutting their ties to cable and satellite. In order to keep viewers tuning in, Discovery Communications has begun efforts to get its content on as many screens as possible.[15]

In November, Discovery joined a group of over thirty producers and distributors that signed with 560 Media. 560 Media is a Global Collections Agency that offers clients intelligence-based revenue-management services.[8] The agency specializes in Television and Film rights that are beneficial to companies in a fragmented and intricate market. Discovery’s partnering with 560 Media will certainly give the evolving company the new edge that it desperately needs. [12] The Director of Global Music at Discovery thinks that,”…560 Media’s fresh and flexible approach to catalog representation will assist Discovery in this specialist area, allowing us to maximize remuneration in the international arena.” Management at Discovery is also working on shifting their focus toward secondary rights management for their high quality catalog. 560 Media will enable Discovery to keep tabs on their revenues and help Discovery gain earning power that is crucial in today’s market.[13]

efforts to catch up with other companies like Disney. Last year, the company began allowing online streaming through the Discovery GO app to cable and satellite subscribers. Research found that the key demographic for the app was between 18 and 34, yet that hasn’t quite helped the network grow. [14] Discovery also announced that they will be starting a joint venture to hasten the growth of its Eurosport channel to an online-format as well as new collaborative efforts with Mediacom, Hulu, Sony Corporation, and CBS Corp. Discovery has also launched a joint deal to produce a new digital-only media holding company named Group9. Group9 will be a digital and social media video provider that will have an estimated 3.5 billion views per month. Discovery will own 39% of the entity and have the option to purchase the whole company outright.[2]

The Future?

Discovery has recently partnered with AT&T to expand their streaming services with DirecTV Now. Other networks and program providers like Disney, HBO, Turner, and NBC Universal have signed up to work with AT&T in their new DirecTV Now subscription video on demand (SVOD) program. There will be three streaming options provided. Two will charge a monthly rate, and the third, Freeview, will be ad-supported. There will be a wide variety of content on the streaming service that will vary depending upon which option the subscriber chooses.[16]

Brief History [1]

Scripps Networks Interactive began in 1878 when Edward W. Scripps founded The Penny Press in Cleveland, Ohio. Jump forward a 100 years and Scripps Networks Interactive began buying and building cable television systems, making it one of America’s largest cable operators, which was later sold to Comcast. In the 1990s, Scripps Network Interactive began building their media network. After the purchase of Cinetel Productions, a Knoxville-based cable creator, it launched HGTV in 1994.

After the launch of HGTV, Scripps Networks started more lifestyle networks including: Food Network (1997), DIY Network (1999), Fine Living Network (2002), Great American Country (2004), and Travel Channel (2009). The organization describes itself as a “niche broadband [of] channels that extend the core brands’ presence on the Internet with advertiser-supported, on-demand content” (Scripps Networks Interactive).

In 2007, the board of directors decided to split The E.W. Scripps Company into two publicly-traded companies. One of the organizations would concentrate on national television lifestyle brands and the other focus on innovative and enduring local media businesses.

Scripps Networks Interactive, Inc. has done very well financially the last few years.  At the end of 2015, Scripps’ revenue totaled $3.02 billion, with a total net income of $606.83 million [2].  This is a great increase from the previous years, as its 2014 net income totaled 545.28 million, and its 2013 net income totaled $505.07 million.  Their total net incomes are increasing at a steady rate, and will likely continue in the coming years.  While their stock price is lower than it was five years ago, it being at $70.06 now and 76.50 then, it has increased greatly in the past year, with the price being only $59.04 in November of 2015.

In the fall of 2016, Scripps Networks reported a 6.6 percent increase in advertising revenues, which totaled to a $477.5 million in advertising revenue during the quarter [3]. This jump in advertising revenue also added to five of the six networks having a ratings boost.  Focusing on ads that connect to the demographics that watch their channels resulted in tremendous success both in viewership and in revenue. The need for advertising revenue caused a major problem when it came to a subscription video on demand service deal with Netflix.

During the fall of 2016, Burton Jablin, Scripps Networks Interactive’s COO, announced the organization would not be renewing its digital distribution deal with Netflix on the company’s quarterly earnings conference call [5]. This isn’t the first-time Scripps Networks Interactive has ended a subscription video on demand deal with a media distributor [6]. In February 2013, Scripps Networks Interactive had a deal with Amazon. That deal ended in March 2014. This prompted the Netflix and Scripps Networks Interactive deal that ended this past November. According to a Variety.com article, Scripps Networks could have lost about $11 million of licensing revenue from Amazon [6]. Unlike the deal with Amazon, the CEO of Scripps Networks Interactive, Kenneth Lowe, commented on the company’s decision to leave Netflix. Lowe stated that a major reason for leaving Netflix was the loss of advertising dollars [7], which brought-in roughly $445 million dollars in revenue during the last quarter [3]. Jablin said in a Variety.com article: “In the end, it really is not the kind of dual-revenue model that best monetizes our content over the long term” (Spangler). [8] Over the past couple of months, Netflix has removed content from its database because the company wanted to create room for its original content. All of Scripps Network’s shows will not be removed until the end of the year [7]. Some of the shows that are being removed are: “Cupcake Wars,” “Chopped,” and “Man v. Food.”

In September of 2016, Scripps Interactive reached a deal with AT&T, in which they agreed for a continuation of distribution of Scripps Networks for DIRECTV [10].  This deal will be made for multiple years, ensuring that DIRECTV will continue its widespread distribution of the Scripps Network channels.  They also agreed to include Scripps Networks on DIRECTV’s streaming service, DIRECTV NOW.  Programs on channels such as HGTV, Food Network, Travel Channel, DIY Network, Great American Country, and Cooking Channel are included to be distributed through this deal.

As DIRECTV has over 20 percent of the market share of cable providers in the US, this deal will assist in allowing Scripps Networks’ programs to be distributed to as many people as possible [11].  DIRECTV is also expected to grow in market share in the next decade, so this deal will continue the great relationship Scripps has with AT&T.  With DIRECTV NOW launching at the end of November, it will also allow people whom prefer to stream their content the chance to view Scripps Network shows [12].  The portability of DIRECTV NOW will allow its customers to view Scripps Network shows at anywhere at any time, which will increase the flexibility and make it more likely that the shows will be viewed a lot more often than before.  DIRECTV NOW is also a lot cheaper alternative to established cable packages, so the low cost may also bring in a lot more viewers, in which can increase Scripps’ revenue and exposure.

Pluto TV is a television platform launched in 2014, which is solely internet-based [14].  They play content from over 75 different partners, including NBC, Bloomberg, Sky News, and Paramount Pictures [15].  The format is basically the same as a television network, as the programs are played in different time slots, as opposed to letting the viewer decide what they want to watch whenever they want to watch it.

In October of 2016, Scripps Networks participated in a $30 financing round, which was led by ProSiebenSat.1.  With this participation, this will allow Pluto TV to air a great amount of Scripps’ content, giving more exposure and potential revenue as a result.  Pluto TV is also available for free, so even people without cable can have access to Scripps’ content.  With this plus the AT&T deal involving DIRECTV NOW, it can definitely be shown that Scripps Networks is investing a lot of money into online streaming services, as they can see the market for internet-based content is growing every year.  If regular cable tv ends up being less popular and streaming services become the most used service to access television, Scripps will be ahead of the change and be able to retain and potentially gain a lot of revenue for the future.

History

Comcast began its history as American Cable Systems, a smaller cable operator from Mississippi. It was purchased by Ralph Roberts and his business partners in 1963, and in 1969 was moved to Pennsylvania. Here it was renamed “Comcast”, a mixture of the words Communication and Broadcast. It then went public in 1972, and from there has been ever expanding.

It is considered to be one of the least-liked media conglomerates, winning “Worst Company in America” twice. Most experts believe this to be true because of the large number of assets owned by Comcast, as well as the monopoly-like power they have in terms of pricing for their various subsidiaries.

Comcast has bought or merged with many different companies, including Spectacor, Microsoft, AT&T, Sony Pictures, and NBCUniversal.
Not only have they expanded into the telecommunications market, they have also bought stakes the sports market, because of their controlling stake in the Philadelphia Flyers [4].
In 2014, they tried to buy Time Warner Cable, but were denied by many different fronts, the largest being that the government was worried that the merger would lead to Comcast having a monopoly in the broadband and video markets. Concerned citizens wrote to the government expressing their fears about the influence that a merged Comcast-TimeWarner conglomerate would have on the broadcast and TV-streaming platforms. The deal was officially abandoned in April of 2015 [5].
Comcast’s most well known acquisition has been NBCUniversal, which has many different assets, ranging from professional sports to entertainment. Today, Comcast is one of the biggest telecommunications companies on the planet, with assets in television, film, gaming, distribution, and sports.

Comcast has seen a steady increase in their stock price over the last year, which sits at $70.14 currently. In comparison to other media conglomerates, whose stocks have been seeing a decline, Comcast Cable Communications and NBCUniversal have both been doing well, leading to the surprising upward movement of the company’s stocks.

NBCUniversal

NBCUniversal (NBCU) is a media conglomerate that is a subsidiary of Comcast, after the latter acquired the former in a $6.5 billion deal in 2011.

NBCU was originally formed in 2004[6], when GE’s National Broadcasting Company merged with Vivendi’s Vivendi Universal Entertainment. Comcast expressed interest in buying NBCU from GE and Vivendi in 2009, bought a 51% stake in 2001, and fully owned the company by 2013 [7].

NBCUniversal recently announced its extended partnership deal with BuzzFeed [8], after a successful year-long initial deal. The two companies plan to collaborate on promotional and original content for both platforms, and aim to create new digital content for NBCUniversal’s premium users.
Another deal that NBCUniversal announced was with Apple. Starting from January 2017, NBCUniversal will be the sole provider of advertising inventory on Apple’s app, Apple News [9].

NBCUniversal is made up of two main divisions: NBC and Universal Studios.
Apart from these two divisions, NBCUniversal also owns a part of the streaming service Hulu, along with Fox Entertainment Group, ABC, and Turner Broadcasting System.

NBC [10] is an american television broadcast network, with its headquarters in the Comcast Building in Rockerfeller Center, in New York City.
As of 2015, NBC owns ten owned-and-run stations, and over 221 network affiliates in 48 states. The network has a national reach of 95.52% of all american homes.

Universal Studios is the American film studio owned by the Universal Filmed Entertain Group, and is considered to be the oldest surviving film studio in the United States. Its film studios are based in Universal City, California.
Universal Studios is credited as the first studio to release three films that each crossed over $1 billion in the box office, a feat the company achieved in 2015. The studio has a large number of successful film franchises under its roof, including Jurassic Park, Back to the Future, and the Jason Bourne series.

Universal Studios also has a large list of upcoming movies, including Pitch Perfect 3, The Mummy, and Fast 8 [11].

Universal Studios OrlandoUniversal Parks & Resorts is a division of the Universal Filmed Entertainment Group, and operates all of the Universal theme parks and resorts all around the globe. It is known for its various rides and attractions that are based off of pop culture characters and has attracted over 50 million yearly visitors to its parks.
The first Universal Studios theme park opened in Hollywood in 1965. Since then, Universal Studios has opened parks in 3 different countries, and has 3 new parks upcoming in Moscow, South Korea, and Beijing [12].

DreamWorks Animation

DreamWorks Animation, an animation studio based out of Glendale, California, was founded in 1994, by Steven Spielberg, Jeffrey Katzenberg, and David Geffen. The studio is known for its animated talking animal franchises (Shrek, Madagascar), and has 33 feature films that have grossed over $13.48 billion worldwide [13].

NBCUniversal, a division of Comcast, announced its intention to acquire DreamWorks Animation (DWA) in April 2016. By August 2016, NBCUniversal has successfully acquired DWA for $3.8 billion. DWA is now a division of Universal Studios [14].
After the acquisition, Universal Studios was supposed to take over distribution for all of DreamWorks Animations’s films, however, DWA had signed a 5-year deal with 20th Century Fox, and intends to honor the deal until the end of the contract, with the film Captain Underpants. Universal will take over distribution in February 2018, beginning with the Margot Robbie and Hugh Jackman starrer, Larrikins.

DreamWorks Animation owns a themed land in the Dreamworld amusement park in Gold Coast, Australia, where they offer the DreamWorks Experience, which contains three distinct areas based on their most popular film franchises- Shrek, Madagascar, and Kung Fu Panda. Each area includes rides and attractions for people of all ages. DreamWorks Animation also has a deal with the Royal Caribbean Cruiseline, and announced in 2010 that the DreamWorks Experience would be offered as part of the cruises.
DreamWorks Animation has a list of movies scheduled to release in the next few years, each one anticipated to receive positive reviews and do well in the box office. The movies include How To Train Your Dragon 3, Shrek 5, and The Boss Baby.

Cumulus Media is a radio broadcasting company with an audience reach of 245 million. Cumulus distributes its sports, news, talk, and entertainment content through its 447 stations that are owned-and-operated by the company. The company’s reach expands across 90 markets in the United States, including eight of the top ten markets in the country [1]. In a $260 million deal in December of 2013, Cumulus acquired Dial Global, Inc., and renamed it Westwood One. Westwood One

Westwood One is a national syndication company that was acquired by Cumulus Media in 2013. Originally known as Dial Global, the company functioned under CBS for over three decades and specialized in syndicated sports broadcasting. Currently, they cover sports such as football in the NFL, golf during The Masters, and broadcast Olympic coverage every two years for both the Winter and Summer games [4]. Westwood One is producing four Christmas from Nov 26th to December 1st 2016. Some of the featured acts will include Train, Neil Diamond and Rascal Flatts. Westwood One looks to create relevant content that pertains to the upcoming Holiday of Christmas [15].

NASH FM

NASH FM is a Cumulus-owned media brand and group of radio station broadcasting across the country. Named after the cultural center of country music, Nashville Tennessee, the NASH FM brand includes 36 different local radio stations that all broadcast on an FM frequency. This brand’s content is broadcasted through the the nation and covers genres from country to rock to hip-hop. It has over 300K followers on their official Twitter account, and often host shows with famous country singers as guests.

As well as being a local station in Iowa, NASH FM also syndicates its shows on a national level under the guidance of Cumulus [7].

The Downfall

For Cumulus, 2015 was a year of tragedy. The company accumulated $2.5 billion in debt. The share price of Cumulus was worth spare change, dropping from its original price by almost 90 percent [8]. One reason this striking increase in debt occurred was because of the hit that the overall radio industry has taken from a significant decrease in listeners these past few years as online streaming content has become more popular. Just in 2016, the revenue of the industry has fallen flat [10]. Cumulus’ top competitor, iHeartmedia, even suffered from this online conversion with its share price dropping by 95 percent [8]. Cumulus has also still been struggling with paying off the debt it accumulated when it bought Citadel, taking on a debt count of $2.8 billion [9]. Cumulus also made the mistake of neglecting tp focus on local markets and caring only about its acquisition of Westwood One and Citadel. Cumulus’ risky business decisions have led the company to drown rather than thrive [8]. However, the new CEO of the Cumulus, Mary Berner, seems to have turned the company in a more positive direction [12].

Financials

In the past three years, Cumulus has seen a decline in sales revenue, a rise in sale expenses, and thus a decline in its net income.

In 2014, Cumulus’ net revenue was $1.26 billion, with a net income of $11.4 million. The following year, in 2015, their net revenue was $289.44 million with a net income loss of $542.18 million. This is in part due to the massive amount of debt that it has accumulated ($2.5 billion). In 2016, Cumulus announced at the end of the Third Quarter that its net revenue so far for the year is $286.14 million, which is 1.1% down from 2015. The company also reported that 2016’s net income is $32.96 million, which is up from a net income loss of $541 million. 895 million in the first three-quarters of 2015, $14.4 million of its expenses were spent on a legal dispute with CBS over syndicated content.

President Mary Berner expressed the failures of previous years and the somewhat hopeful future of the company by stating that Cumulus, “gained share for the first time in at least four years (in 2016)” [6].

Future

As the newest CEO, Mary Berner is leading a key initiative to turn around the company. Berner has an extensive resume, including her position as CEO at Reader’s Digest Association, Fairchild Publications, and Association of Magazine Media [12]. Berner has experience with companies in trouble, helping Reader’s Digest at a time when it was undergoing reorganization due to bankruptcy [8]. With her expert background in managing large companies, Berner has immediately taken on the challenge of addressing key issues of decreased focus on national syndication, and increased focus on employee satisfaction and local affiliates [12].

In order to combat a large amount of debt that has been accumulated by the company, Cumulus plans to create a more open dialogue with its stakeholders. This way, Cumulus can come up with strategies aimed at reducing the debt, because attempts in previous years have not worked. Cumulus also stated that it will review all possible options in order to its maximize its efficiency on both a corporate, national and local level.

Cumulus has announced that the company will undergo a restructuring of its organization. It will shift the control of the company into the hands of its localized affiliates and work from a “bottoms-up” approach by strengthening its foundation. Cumulus believes that this approach will increase ratings as well as improve the operation of the company.

With prior negative feedback from employees about the culture of Cumulus, the company looks to initiate a better work environment [12]. Communications will be enhanced through a “top-down” process, where Berner stated that she will answer any employee’s email within 48 hours. Policies about vacation and leave will be reevaluated so that employees will receive improved benefits. Though the merit system has not been manipulated for the past ten years, Cumulus declared that the system will be increased to promote motivation and work efficiency. This initiative has reflected positively among employees. As shown in the above graph, turnover significantly decreased between 2015 and 2016, where voluntary sales turnover experience the most impact, where turnover was reduced from 42% to 27% from April of 2015 to April of 2016 [14].

Cumulus has also started to improve its sales execution in hopes of decreasing its debt. The company aims to incorporate new sales strategies both on a national and a local level. Cumulus also stated that it will extend measurements of sales productivity in order to gather more research about what works and what does not work. That way it can tackle issues and create more productivity in the future. Cumulus is also trying to improve both its marketing tactics, and improve the training given to new employees.

As Cumulus strives to create a more optimal working environment with increased employee satisfaction, the future looks brighter than it did before Mary Berner stepped up as CEO. With the restructuring of management, as well as the focus on local markets over national syndication, Cumulus has taken the necessary steps in order to stay afloat. Although the company still needs to address the debt situation, Cumulus continues to make strides towards increasing revenue and slowly paying the debt off [11].

Sony began in 1946 as the Tokyo Tsushin Kogyo K.K. (Tokyo Telecommunications Engineering Corporation), or Totsuko with roughly 190,000 yen in startup capital for the research and development of telecommunications and measurement equipment.The company produced several pieces of communications equipment, such as its “power megaphone,” and the G-Type, Japan’s first magnetic tape recorder.

Sony’s most recent annual fiscal report, which ended in March of 2016, is roughly on par with recently posted fiscal years (2014 and 2015) with a slight decrease in sales revenue, but also an equally decreased value in expenses. That being said, the most recent quarterly earnings report to be released shows an overall decrease in sales and operating revenue. The roughly 10% drop in sales and operating revenue translates into a 48% decrease in operating income, and a more than 85% decrease in the operating income attributable to stock holders. [10]

Playstation VR continues to be a major focus for Sony on the gaming front, with an announced roster of more than 70 games to be available to the system between its October release and the end of 2017. [12]

Unrelated to the company’s foray into the realm of virtual reality is their recent launch of the Playstation 4 Pro, an upgraded version of the already popular Playstation 4 Console. The goals of the console are heavily ingrained in its ability to play games and and video at 4K resolution. Sony Pictures has an impressive lineup coming into 2017. Passengers is set to release in the last weeks of 2016 and will be the Sony’s frontrunner going into theaters for the new year. Established franchises are, as expected, to be a staple for 2017, with new installments in the Underworld, Resident Evil and Smurfs franchises, as well as Spiderman: Homecoming. As far as less serialized titles are concerned, T2: Transpotting, Stephen King’s The Dark Tower, and the Dwayne Johnson lead Jumanji (2017) are all highly anticipated films for the new year. [16]

Sony’s Xperia smartphone line will be welcoming a new addition in April 2017 with the release of the Z7. The phone is confirmed to be priced at $600 USD and will be running on Google’s newest edition of it’s Android software, Nougat/Android 7.0. Rumors suggest that the phone will lead the smartphone dual camera revolution, will have expandable memory and will feature rapid, wireless charging. [17]

2017 marks a new era for Sony Music Entertainment. 54 year old Rob Stringer is a Sony Music executive and has been for quite some time. In October it was announced that Stringer would be heading the world’s second largest record company come early to mid 2017. Stringer is known both as a long time executive with the company and as the younger brother of Sir Howard Stringer, the former chairmen and president of Sony Broadband and former CEO of not only Sony Broadband, but also Sony Electronics Inc. and Sony/ATV Music Publishing LLC. The shift in power has been a long time coming, as Stringer is set to replace the 77 year old Doug Morris. [18]

In time for the Holidays, iHeart Radio has announced it’s line up for the Jingle Ball Tour, sponsored by Capital One. The Jingle Ball Tour is on the company’s largest sources of annual income. Celebrities such as Bruno mars, Justin Bieber, and Britney Spears will be performing. With tickets ranging from $50 to $160, the tour stops will be stopping cross country in big cities such as Dallas, New York, and San Francisco. The tour is integral to the iHeart Radio’s merit and diversity, as it is the number one leading free-all access online audio platform, reaching its 90 million listeners faster than any other digital company, including Facebook. Not only does the tour prove beneficial with exclusive deals for Capitol One customers, the tour also allows the company room for philanthropy networking. For the fourth consecutive year, iHeart Radio will partner with the Ryan Seacrest Foundation to provide an entertaining experience for hospitalized children. The Jingle Ball Tour this year will also prove integral to the subscriber and fanbase as iHeart Radio Plus and iHeart Radio All Access – two new subscription services will be released in January 2017. [9]

iHeart Radio All Access, to be released in January 2017, will mark the start of an on demand business module. The brand will now be a top competitor amongst other services such as Spotify, which allow you to listen to any song you’d like at any given time. iHeart Radio Plus will offer a unique enhanced experience to listeners. It is a different subscription service than iHeart Radio All Access, and will allow users to listen ad-supported content as well as give listeners access to other features that competitors such as Spotify do not offer. The company also stated that they are looking to bring music collection and music discovery into one entity, as 73% of consumers report their number one source of discovering music is from radio streaming. [11]

iHeart Radio is certainly the talk of the town of the company, racking in the most news (and profits) with the upcoming music festival and all-access radio streaming. The iHeart Radio app has recently hit 92 million users, according to CFO Richard Bressler. Digital listening only makes up 10% of the market, the other 90% falling under broadcast radio. This statistic, however, only leaves the market more open to the iHeart Radio and its 269 million monthly subscribers. [12]

Finances

iHeart Media’s third quarterly report of 2016 shows a revenue of $847 million (a 2% increase from 2015). Even though their revenue increased, their income before depreciation was close to 2015 at $326 million. Registered users for their streaming application increased by 35 percent (75 million total users), and usage of their application increased by 21 percent in quarter three [13]. iHeart Media’s flat income comes from Clear Channel Outdoor Holdings, “one of the world’s largest outdoor advertising companies, operating in some 30 countries across North America, South America, Europe and Asia-Pacific,” which saw an OIBDAN decrease of 13 percent for their international market [14]. iHeartRadio needs its new streaming services, iHeart Radio All Access and Plus to do well so that it does not fall too far behind Pandora and Spotify. iHeart’s users equate to 14.4 percent of Pandora’s and 23.3 percent of Spotify’s [16]. Even though iHeart is lagging behind Spotify and Pandora, their new take and improvement of radio with iHeart Radio All Access could close the gap between its competitors.

Background

Disney is a leading producer, owner, and distributor of media that owns, among many other things, broadcast network ABC; movie studios Pixar, Walt Disney Animation, Marvel, and Lucasfilm; Walt Disney Parks and Resorts that attracted nearly 150 million people in 2015 [2]; and cable sports network ESPN [3]. Between ABC, its affiliates, and ESPN, Disney operates more than 300 channels worldwide, while its movie studios own the rights to The Avengers family and Star Wars [4]. The last Star Wars release became the highest grossing domestic film earlier this year and with another releasing this December, the company’s film division remains strong [5]. However, fluctuating results on the television side have led Disney to invest in new technologies and a desire to expand international reach birthed a new theme park in China, which opened earlier this year.

Disney’s Chief Executive since 2005, Bob Iger helmed the acquisitions of Pixar, Marvel, and Lucasfilm. Since Iger’s promotion from Chief Operating Officer, Disney’s stock price has risen more than $70 while it’s TV division has come to account for half of the company’s profit [6]. Nearing the end of his career, Iger has repeatedly delayed his retirement and most recently set 2018 as the expiration date for his own tenure. His last task will be selecting his successor, after a recent candidate failed to last as heir.

Beyond Iger, various chairmen run each of Disney’s major compartments and the company’s board of directors is comprised of 11 members. However, it is this organizational chart, distributed by Walt Disney Studios in 1943, that largely explains Disney’s management philosophy [7]. Rather than the typical hierarchy, the chart displays an interlocking web of managers, producers, and creators that are needed to produce a film. This organization is intended to encourage creativity and teamwork by emphasizing collaboration rather than chain of command. Each role supports, instead of merely instructing, another.

Financials

Annual revenue, profit, and net income have increased yearly since at least 2013, as has Disney’s valuation of its assets and balance sheet as whole. Disney’s revenue dwarfs that of most of its competitors in media, exceeded only by Sony and other conglomerates that produce and own as much content as Sony and Disney. Disney’s stock price is similarly higher than most competitors, currently hovering around $100 [8]. The company’s price per share seems to be inextricably linked to the success of ESPN, which is struggling with subscriber losses and adapting to the future (see “Investments in Technology” section below).

Disney’s future focus is in technology as it attempts to revitalize ESPN and stay on the cutting edge of content creation and media. Primarily, in August the company invested $1 billion for a 33% stake in Major League Baseball’s BAMTech, a leading television streaming company. The deal included an option for Disney to take a majority stake in the company down the road. The first collaboration between the two will be BAMTech’s creation of a standalone streaming service for ESPN, which Disney hopes will help ease the network’s subscriber losses and struggling ratings. BAMTech adds 7.5 million paid subscribers across a multitude of streaming platforms to Disney’s already massive user base [9]. The investment in BAMTech isn’t completely black and white, however. Television’s trend toward skinny bundles complicates the relationship between every content producer and cable provider, with Sling, DirecTV, Hulu, and more getting into the live over-the-top business. Disney’s BAMTech investment suggests a possibility that Disney itself could run a direct-to-consumer cable distributor itself [10].

Throughout this year, rumors swirled about the possibility of Disney purchasing Snapchat, Twitter, and/or Netflix, though analysts agree: none of these are likely. Twitter’s struggle to remain profitable and stabilize its stock price creates nonstop purchase rumors, but it seems that Disney doesn’t stand to benefit much from a Twitter acquisition [11]. Snapchat has proved to be a unique outlet for Disney’s content, but doesn’t seem to be a likely purchase for the social media company [12]. Though the investment in BAMTech signifies Disney’s interest in streaming, Netflix doesn’t appear to be a perfect partner, either. Netflix’s dominance in the streaming market has waned as challengers such as Amazon and Apple have stolen subscribers [13].

After the November 23 release of Moana, Disney is nearing $2.5B in total domestic box office gross for 2016 [14]. With the top four grossing films of 2016 thus far (Finding DoryCaptain America: Civil War, The Jungle Book, and Zootopia), the company topped $6B in worldwide box office gross for the first time in its history [15]. This new record will only increase as Moana and Doctor Strange continue to screen and Disney’s final 2016 film releases: the newest film, Rogue One. Beyond the box office, movies like Star Wars, Finding Dory, and Moana provide massive profits in merchandising, both in America and abroad. In 2013, Disney merchandise sales brought in over $40B.

Theme Parks

On June 16, Disney’s fourth international theme park opened in Shanghai, with the tagline “authentically Disney, distinctly Chinese” [16]. The company avoided western branding and symbols by changing street names within the park and by filling the concessions with 70% Chinese food. Traditional Disney characters can be seen wearing traditionally Chinese silk costumes and speaking the native language. The Shanghai Disney Resort seeks to take advantage of the massive potential offered by China and the wider Asian market.

Conclusion

Despite Disney’s losses in television, its massive successes at the box office in 2016 have made up for it. The control of Star Wars, Marveland Pixar promises success in the motion pictures department nearly every year. Further, Disney’s land holdings of theme parks underscore the company’s finances with physical propoerty–while most media conglomerates own intellectual property, Disney holds more tangible assets as well. The company’s investments in technology put it in a good place for the future–its theme parks’ MagicBands have already proven successful. But while the company must hope these investments pay off, it also faces the uncertain future of navigating an evolving marketplace with a new CEO. Iger’s selection of his successor is by far the most important storyline to follow within the massive world of Disney.

Overview

Columbia Broadcasting System, known as CBS Corporation, was founded in 1927 as competition to the National Broadcasting Company (NBC). CBS began as a major contributor in the radio business, then moved into television as that transition of medium was occurring [1].

Divisions of the Company

CBS Corporation branches out to all sorts of media, including radio, television, film, cable, as well as interactive media. The company owns a wide variety of operations such as its own television distribution, consumer products, television studios, home entertainment, and sports networks. CBS also has joint ventures with major companies such as Lionsgate and Warner Bros. Entertainment. Their deal with Warner Bros. allowed them to create the CW, a television network that has produced successful shows such as “Arrow” and “The Vampire Diaries” [3]. The partnership between Lionsgate and CBS led the the development of “Pop”, which combines both major companies talents in programming, production, and distribution.

Finances

CBS is a publicly traded company in the New York Stock Exchange, listed as CBS.A and CBS. Their stock has seen a steady increase over the past year, currently sitting at $60 per share, as opposed to $50 per share a year ago [9]. CBS had a successful third quarter this year, with revenues increasing 4 percent to $3.4 billion. Revenue is up from $3.26 billion at the same time last year. This was due to an increase in revenues and fees from CBS affiliate stations and a growth in their digital distribution platforms. There was also a negative impact in advertising revenue from the Republican and Democratic National Conventions, the first Presidential debate, and the 2016 Summer Olympics [10].

Some of the largest contributors to CBS’s success are its cable networks, such as Showtime Networks and CBS Sports Network. Their revenue increased 14% to $598 million in this third quarter, growing from $526 million in last year’s third quarter. This aspect of the company will continue to prosper, with the growth in over-the-top (OTT) streaming services across media [12].

Current Projects

Right now, CBS Corporation is attempting to close a deal in which Viacom will merge with CBS. Both Sumner and Shari Redstone, Chairman and Vice Chairman of CBS, are large supporters of the deal. However, what is halting the deal is both companies board of directors have obligations to their shareholders. These shareholders are still exploring the potential problems that could happen if the deal were to be made. Some of these issues include pricing and structure after the merger is made. Even though the deal is still in talks, it is likely that it will happen because a single family, the Redstone’s, own 80 percent of both companies [13].

With the emergence of AT&T’s aggressively priced DirectTV Now (merging internet and television like never before), CBS is left to wonder one question: Why? A deal of this magnitude essentially leaves CBS yearning to somehow affiliate itself with this mega-deal. CBS has already taken the initiative to converge with other prosperous companies, inking a small deal with Google that involves a “skinny bundle” of TV networks to be called YouTube Unplugged. The drive CBS has to concern itself with as many large companies as possible depicts its drive to remain a powerful media conglomerate [14].

CBS has been in the preproduction process of a new Star Trek series titled Star Trek: Discovery. This series will only be available on CBS’s online streaming service CBS All Access, after premiering on CBS. The decision to stream the show was made because science fiction shows have historically done poorly on broadcast television. CBS believes that a majority of Star Trek fans will pay for the services of CBS All Access so they will not miss out on the new series. Star Trek: Discovery is said to have a diverse and better represented cast, with a female lead and at least one gay character [16]. The company is hoping that this new series will also bring more viewers to this service, with about 1 million subscribers already. A commercial-free option of CBS All Access is now available, which costs $9.99 a month, as opposed to the ad-supported service costing $5.99 a month [17].

CBS is starting to take similar approaches to that of Netflix. Leslie Moonves stated that he is a big fan of Netflix and is taking some strategies that will help with CBS All Access. Rather than just displaying old shows on All Access, CBS has decided to take the same approach as Netflix by creating its own original shows. They use this strategy in order for their viewers to keep interest in All Access and not cancel their memberships. Previously, there would only be two or three buyers to get content from CBS. Now, streaming services are benefitting CBS Corporation because they can sell their syndicated content to Netflix, as opposed to these two or three buyers.

There has also been continuing success with CBS’s subsidiary, Showtime. Showtime is another over-the-top streaming site, similar to All Access. Moonves is going to make a continual amount of original programming, aiming for once a month released series or seasons. He also wants there to be an increase from about one million to four million subscribers in the next few years [20].

CBS has added six new shows this fall season to their primetime lineup, three comedies and three dramas. The three comedies are Kevin Can Wait, Man With a Plan, and The Great Indoors. These shows have big-name stars, such as Kevin James, Matt LeBlanc, and Joel McHale. The new dramas, Bull, MacGyver, and Pure Genius attract a wide range of audiences due to the differences of the casts. These shows are doing well so far, but time will tell which ones remain on the network and which will not make the cut [21].

Future Endeavors

It was announced November 28th that CBS CEO and Chairman Leslie Moonves will be attending the UBS 44th Annual Global Media and Communications Conference in New York City on December 5th for a question-and-answer session [24]. This is a conference where companies join to meet and host formal presentations over a three day period [25].

Two new shows are set to premiere later in the 2016-2017 season on CBS. Training Day and Doubt are both dramas that revolve around crime and the legal system. This will hopefully help the ratings of the other dramas already showing on CBS [26]. The future of CBS Corporation looks very bright, and many changes are set for the upcoming months and years.
